Assistant General Counsel - Securities & Corporate Governance

Qualifications

• Juris Doctorate with active state bar membership in good standing.
• 5+ years of corporate and securities law experience, preferably in-house or at a law firm.
• Comprehensive knowledge of SEC regulations, Sarbanes-Oxley, and corporate governance principles.
• Proven ability to draft and edit SEC filings and corporate governance documents.
• Strong project management skills with the ability to handle multiple priorities effectively.
• Impeccable attention to detail and a commitment to integrity.

Responsibilities

• Provide legal support on corporate and securities law compliance matters, including SEC filings and proxy statements.
• Review earnings releases and investor communications for accuracy and compliance.
• Assist in organizing shareholder and Board meetings, including preparing materials and managing communications.
• Oversee legal entity management and ensure compliance with corporate governance requirements.
• Support transactional matters such as mergers and acquisitions and financing activities.
• Supervise legal staff in corporate secretarial functions.
• Monitor legal changes and ensure policies are updated accordingly.
