About the team/role

Reporting to Checkr's Vice President, Corporate & Commercial, you'll be a key member of a lean, collaborative legal team, helping deliver the corporate legal work behind Checkr's next stage of growth - including IPO readiness, M&A, securities, and corporate governance. You'll own defined corporate and transactional workstreams with direct guidance from the Vice President, providing crisp, risk-based advice and knowing when to escalate or bring in outside counsel. Working closely with the Finance and Corporate Strategy teams and external counsel, you'll help build the processes and playbooks that let Checkr's legal function scale with the business. This role is based in our San Francisco office.

What you'll do
  • Provide hands-on support across corporate transactional work - M&A and other strategic transactions - including deal structure and LOI input, due diligence, drafting and negotiating deal agreements, and post-closing integration.
  • Support IPO readiness, including cross-functional readiness planning and assisting with S-1 drafting.
  • Execute equity and debt financing transactions and maintain ongoing compliance
  • Coordinate with the legal, finance, and corporate strategy teams and external corporate counsel to keep transactions and workstreams on track.
  • Advise on and support corporate governance matters, including board and shareholder logistics and governance policies
  • General corporate work, including corporate registrations and filings, entity administration, leases, and intercompany agreements
  • Manage stock administration, equity matters, securities filings, and employee equity education.
  • Help manage Checkr's insurance and enterprise risk programs
  • Assist sales leadership on variable compensation plans
  • Build and improve processes and workflows that scale with Checkr's growth, and identify opportunities to make the legal team more efficient.

What you bring
  • JD degree and active membership in good standing of a state Bar.
  • 5-8 years of corporate and securities law experience; a mix of top law firm and in-house experience is a plus.
  • Hands-on M&A transactional experience, with exposure to IPO readiness or public-company matters a strong plus.
  • Solid working knowledge of corporate, securities, and transactional matters, with the judgment to spot and triage key issues and know when to escalate or engage outside counsel.
  • A pragmatic problem-solver who provides crisp, timely, risk-based advice and communicates it clearly to non-lawyers.
  • Strong collaborator with excellent written and verbal communication skills who builds trust across teams and represents Checkr well with external parties.
  • Highly organized, able to prioritize and manage multiple projects in a fast-paced environment, with strong attention to detail and discretion handling confidential information.
  • An A-player mindset with a strong bias for action: you raise the bar, move with urgency, stay resilient through ambiguity, and take ownership to deliver meaningful outcomes.

$229,000-$269,000 USD
