In this Senior Counsel, Legal - Financial Crimerole, you will join a dynamic and collegial team of professionals at TD Legal, providing advice and supporting a wide range of legal and risk areas. This role primarily involves providing senior, expert level legal advisory services in relation to anti-money laundering (AML), anti-terrorist financing (TF), economic sanctions, anti-bribery and anti-corruption laws (ABAC), including regulatory expectations and best practices, across all Canadian lines of business and functions within TDBG. Legal advice and guidance in other areas of financial crime, as well legal processes, may also be required.

Job Accountabilities

The Senior Counsel, Legal - Financial Crime role is a member of TD Legal and reports into the VP and GC of Financial Crime and Enterprise Investigations in Canada. The role is expected to be proactive in anticipating legal, regulatory, economic and reputational risks, and to provide strategic and commercially practical legal advice on a wide range of initiatives, programs, processes, policies and events involving, or adjacent to, financial crime matters. Duties include:

  • Working closely and building strong trusted relationships with control groups, such as Financial Crime Risk Management, Compliance, Risk, Audit, Fraud, Government Relations and external parties as required.

  • Monitoring, tracking and remaining current on new and emerging AML, TF, economic sanctions, ABAC and criminal laws, regulations and bills; including translating legal terms into business requirements, guidance and advice.

  • Providing expert level AML, TD and economic sanctions advice to business and legal partners that is integrated with the strategies and objectives of the business and is consistent with the enterprise-wide risk policy, including by supporting the development and/or implementation of policies, procedures, and solutions.

  • Proactively identifying key legal risks and mitigation strategies, while ensuring awareness among relevant stakeholders and other members of the TD Legal team.

  • Providing regular oral and written reporting to senior management, including TD Legal.

  • Overseeing and directing external counsel and other third-party vendors (including cost management).

  • Other duties, as assigned, including people management.

Qualifications/Skills/Experience

  • Law degree from an accredited law school and qualified to practice law in Canada.

  • Possess 10+ years of post-call lawyer experience (with at least 5 years of in-house, private practice or regulatory experience in the areas of AML, TF and/or economic sanctions).

  • In-depth knowledge of the Proceeds of Crime Anti-Money Laundering and Anti-Terrorist Financial Act (and associated regulations) and robust experience assessing economic sanctions (including Global Affairs Canada directives and UN or foreign state equivalents).

  • AML certifications are an asset.

  • Experience in the banking and financial services sector, including engagement with relevant regulators, an asset.

  • Experience in regulatory enforcement is beneficial but not required.

  • Demonstrated senior-level excellence in judgment, leadership, and relationship management.

  • Strong analytical and problem-solving skills, as well as an advanced ability to identify problems/ barriers, manage risk and effectively implement solutions to further business strategy.

  • Advanced communication (written and verbal), negotiation, conflict resolution, legal research and analytical skills

  • Versatile and flexible, with ability to navigate uncertainty and to quickly adapt to changing and ambiguous initiatives or requirements.

  • Ability to multi-task is critical, and the ability to work effectively against deadlines and operate on a day-to-day basis with limited supervision is also important.

  • Strong technology aptitude including (i) proficiency with standard office software and ability to learn and apply new technologies in work environment and (ii) capacity to understand current and emerging technologies in the industry and how they affect business objectives.
