Responsibilities

Full Job Description
What You Will Do
  • Serve as a trusted advisor to business clients on a wide range of corporate and transactional matters
  • Structure, negotiation, and draft agreements related to business formation, governance, and operations. Draft and review corporate documents including operating agreements, shareholder agreements, buy-sell agreements, and partnership agreements
  • Advise clients on mergers and acquisitions, corporate restructuring, and strategic transactions
  • Provide legal counsel on corporate compliance, risk management, and governance matters
  • Advise clients on the negotiation and documentation of commercial transactions and contractual relationships, identifying legal risks and developing practical solutions to support business growth and operational objectives.
  • Work collaboratively with partners and other attorneys on complex transactions and client matters
  • Develop and maintain strong relationships with existing clients while assisting in business development initiatives
  • Mentor and support junior attorneys and legal staff when appropriate

What We Are Looking For
  • 6+ years of corporate law experience, preferably in a law firm environment
  • Juris Doctor (JD) from an accredited law school
  • Licensed and in good standing with the State Bar of Colorado of State Bar of Texas
  • Strong experience in business transactions, entity structuring, and contract negotiation

  • This position can be located in Colorado or Texas, depending on the candidate

Compensation & Benefits
  • Salary Range: $147,000 - $155,000 (commensurate with experience).
  • Total Compensation potential: $145,000 - $232,000
  • Quarterly Bonus Potential - from 3% to 16% of total realized revenue with no billable hour requirements. Bonuses are tied to clear objective metrics, offering substantial earning potential for high performers.
