Full Job Description
SUMMARY

The Counsel will provide legal assistance on aspects of U.S. Seniors Housing legal transactions, including, without limitation, acquisitions, dispositions, joint ventures, and development matters.

KEY RESPONSIBILITIES

  • Advise investment teams and development teams on U.S seniors housing development deals, acquisitions, dispositions, joint ventures, management agreement negotiations and operator transitions, and provide guidance and subject matter expertise on documentation related thereto.
  • Problem solve creatively to propose solutions and help the investment team achieve objectives and goals.
  • Develop a working understanding of the tax and accounting considerations in REIT seniors housing transactions.
  • "Quarterback" transactions in partnership with the Investment Team.
  • Liaise with internal stakeholders at Welltower during the course of a transaction, including, the Investment Team, the Development Team, the Accounting Department and the Tax Department.
  • Advise on post-closing asset management matters.
  • Manage and develop productive relationships with outside counsel, where necessary, to cost-effectively and efficiently manage the company's domestic business needs and relationships.

TRAVEL

Out-of-area and overnight travel to be expected from time to time.

MINIMUM REQUIREMENTS

  • Education: J.D. from an accredited law school with outstanding academic performance demonstrated. Admission in good standing to the Bar with the ability to become admitted in New York or Texas (depending on location) is required.
  • A minimum of 3 years significant real estate and/or M&A experience, preferably representing REITs or public companies, gained at a top tier law firm or in-house position.
  • Understands commercial concepts that drive real estate and/or U.S. seniors housing transactions.
  • Dynamic and flexible self-starter who can interact effectively with people at every level of the company on a daily basis, follows through on commitments, exhibits sound and thoughtful judgment and takes responsibility and accountability for tasks, deals and projects.
  • Communicates clearly and concisely, adapting to the applicable audience.
  • Easily establishes foundational relationships with counterparties (whether internal or external).
  • Ability to work independently but can be a productive member of a cohesive team.

COMPENSATION

Salaries may vary by location. The range for this role in New York City, NY is $194,000 - $235,000 plus bonus. Final compensation determinations are made based on a variety of factors, including, but not limited to, the candidate's individual experience, education, and skill level; business strategic priorities; primary office location; scope and anticipated strategic impact of the role.
