Job Description:

We are seeking a highly skilled and motivated in-house Counsel, Commercial Contracts to join our legal team. As an integral part of our organization, you will play a crucial role in reviewing, drafting, and negotiating a wide range of commercial contracts. Your expertise will ensure that our business operations run smoothly while minimizing legal risks and maximizing opportunities. The ideal candidate has a strong background in contract law, exceptional attention to detail, and the ability to provide practical legal advice to support our company's objectives. This role reports to the VP, Assistant General Counsel, Commercial.

Responsibilities:
  • Lead the negotiation, drafting, and review of a wide range of complex commercial agreements, including but not limited to sales agreements, agency agreements, distribution agreements, and non-disclosure agreements.
  • Collaborate with cross-functional teams to ensure contract terms align with business objectives and mitigate legal risks.
  • Provide legal guidance to internal stakeholders on contract interpretation, rights, and obligations.
  • Assist in the development and implementation of legal templates, processes, and best practices to enhance the efficiency of contract negotiations.
  • Participate in the continuous improvement of internal contract processes and procedures.
  • Conduct legal research to support contract-related decisions and provide recommendations to the legal team and business units.
  • Analyze and assess legal and business risks associated with various commercial transactions and provide practical solutions to mitigate such risks.
  • Stay informed about relevant industry trends, legal developments, and regulations to ensure the company's contracting practices are compliant and up-to-date.
  • Support dispute resolution and legal proceedings related to contracts as necessary.
  • Maintain organized and comprehensive contract records and documentation.
  • Manage external legal resources as needed, such as outside counsel and consultants.
  • Lead training sessions and workshops for internal teams to enhance their understanding of legal matters related to contracts, including terms and conditions.


Qualifications:
  • Juris Doctor (JD) from an accredited law school.
  • Active member in good standing with a state bar (specific state bar requirements based on location).
  • Must have a minimum of 7 years of relevant legal experience, either in-house or at a reputable law firm.
  • Proven track record of negotiating and closing complex commercial transactions.
  • Strong understanding of commercial law principles, contract law, and relevant regulations.
  • Strong proficiency with the Microsoft Office Suite including Word, PowerPoint and Excel, and experience with Outlook.
  • Familiarity with technology and software tools for legal operations and contract management is a plus.
  • Outstanding communication skills, with the ability to convey complex legal concepts clearly and persuasively to diverse audiences.
  • Ability to provide practical legal advice tailored to the client business.
  • Ability to maintain strong and productive working relationships with business partners.
