Corporate Counsel - Americas

Position Summary

An exciting opportunity to join a leading global asset manager operating in the fast-growing and specialized asset class of legal dispute finance, in the key role of Corporate Counsel - Americas.

This role is suited to a highly ambitious transactional finance or corporate lawyer with a minimum of six years' post qualification experience, seeking to transition into a more commercial, business-facing position. As Corporate Counsel - Americas, you will be responsible for managing legal engagements and transaction documentation across all investments originated by the Americas investment teams, as well as advising on any associated contractual disputes. You will also work closely with the capital formation and funds management teams, supporting a range of funds, structuring, and regulatory matters.

The successful candidate will bring energy, intellectual curiosity, and a strong desire to learn and grow within a global organization. You will demonstrate the ability to manage multiple workstreams, build trusted relationships with colleagues and stakeholders, and contribute meaningfully as a valued member of a high-performing team.

Key Role Responsibilities
  • Assist investment teams with preparation and management of pre-investment documentation, including NDAs and term sheets.
  • Negotiation and implementation of vendor contracts, service agreements, and engagement letters with third party vendors and law firms
  • Management of external counsel in the preparation, negotiation, and closing of litigation funding agreements and other transactions
  • Assistance with any SEC compliance related matters for US investment adviser
  • Assistance with global and strategic projects
  • Assistance in fund formation work
  • Updating and maintaining US transactional templates (i.e., NDAs, engagement letters, term sheets, funding agreements


Key Role Technical and Behavioral Competencies
  • Corporate / transactional attorney with background in financing transactions with 6-8 years of experience
  • Attorney with large law firm experience and/or some in-house experience with private equity firm, hedge fund, investment manager, etc.
  • Added benefit if individual has worked on litigation finance transactions in the past


Required Education
  • JD and admission to one or more state bars (must be in good standing)
