Job Description SummaryThe Contract Manager is responsible for managing the intake, coordination, workflow, and administration of contract requests across the organization. This role serves as the primary intake channel for contract-related requests, helps ensure that contract documentation accurately reflects the applicable business transaction, and supports the Legal Department through effective use and administration of the company's contract lifecycle management system.
The Contract Manager will work closely with business stakeholders, attorneys, sales, operations, finance, procurement, and other internal teams to collect necessary information, generate standard-form agreements, coordinate review of counterparty-drafted documents, maintain an orderly contract repository, and help drive consistent and efficient contracting practices.
Job DescriptionQualifications- Bachelor's degree or equivalent professional experience required.
- Three or more years of experience in contract administration, contract management, legal operations, sales operations, procurement, or a related function required.
- Experience using a contract lifecycle management system, document management system, CRM, or similar workflow platform preferred.
- Familiarity with commercial contracts, including NDAs, services agreements, statements of work, order forms, amendments, purchase terms, and vendor agreements.
- Ability to understand business transactions and translate commercial context into accurate contract documentation.
- Strong organizational skills and attention to detail.
- Ability to manage multiple requests, priorities, and deadlines in a fast-paced environment.
- Ability to handle confidential and sensitive information with discretion.
- Clear written and verbal communication skills.
- Sound judgment in identifying issues that require escalation to attorneys or business leadership.
- Ability to explain routine contract positions to business stakeholders and, within approved guidelines, to customers or other counterparties in a practical and professional manner.
- Proficiency with Microsoft Office, Adobe, electronic signature platforms, and contract or document management tools.
Essential Functions- Contract Intake and Workflow Management
- Serve as the central intake point for contract requests from across the organization.
- Review incoming requests to confirm completeness, identify missing information, and determine the appropriate workflow.
- Coordinate with business stakeholders to understand the commercial context of proposed transactions, including scope, pricing, timing, deliverables, customer requirements, operational assumptions, and non-standard terms, supplementing information available through the company's ERP and other business systems as necessary.
- Route contract matters to attorneys or other internal reviewers when legal, commercial, operational, financial, or compliance issues require escalation.
- Track contract requests through the review, negotiation, approval, signature, and storage process.
- Maintain visibility into contract status and help ensure timely progress of pending matters.
- CLM System Administration
- Use the company's contract lifecycle management system to generate standard-form agreements, including NDAs, master services agreements, statements of work, order forms, change orders, vendor agreements, and other approved templates.
- Intake counterparty-drafted agreements and upload them into the CLM system for AI-assisted initial review, internal routing, and repository management.
- Maintain accurate matter records, metadata, document versions, approvals, comments, and final executed agreements within the CLM system.
- Help administer CLM workflows, templates, clause libraries, playbooks, approval routing, user permissions, and reporting tools.
- Support process improvements to increase contracting efficiency, consistency, visibility, and compliance.
- Train and support business users on proper use of the CLM system and contract intake process.
- Contract Review Support
- Review standard-form agreements and counterparty revisions against approved templates, playbooks, and guidance from the Legal Department.
- Identify deviations from standard terms and flag issues requiring attorney review.
- Prepare basic redlines and comments consistent with approved legal and business positions.
- Explain the reasoning for routine contract revisions to internal business stakeholders and, within approved playbooks and escalation guidelines, to customers or other counterparties.
- Help ensure that contract documents align with the underlying commercial deal and do not omit key terms or include terms inconsistent with the business understanding.
- Assist attorneys by organizing background information, identifying open issues, and preparing contract packages for review.
- Business Alignment and Information Gathering
- Work with sales, operations, finance, procurement, and other teams to clarify deal structure and fill information gaps when the original request or commercial context is incomplete.
- Confirm key contract inputs, including parties, scope of work, pricing, payment terms, renewal terms, deliverables, service levels, customer obligations, subcontractor involvement, data or security requirements, and special operational considerations.
- Help translate business requirements into appropriate contract documentation using approved forms and processes.
- Promote consistent use of approved contracting channels, templates, approval procedures, and repository practices.
- Repository and Records Management
- Maintain an orderly, searchable, and complete contract repository.
- Ensure executed agreements, amendments, statements of work, order forms, notices, and related documents are properly stored and associated with the correct contract record.
- Maintain accurate metadata to support reporting, renewals, obligations tracking, audits, and business inquiries.
- Help identify missing, expired, duplicative, or improperly stored agreements and coordinate remediation as needed.
- Perform contract review and negotiation activities within approved templates, playbooks, and escalation guidelines. The Contract Manager is not authorized to provide independent legal advice or approve material deviations from established company positions.

Pay range for this position:US $98,474 - $116,274
Actual compensation will be determined based on relevant experience, qualifications, skills, internal equity, and work location.
