Job Description & Summary
A career within Technology in Deals will provide you with the opportunity to help clients achieve maximum value on their transactions by addressing complex technology challenges across the deal lifecycle. We focus on all technology-related aspects of a transaction - pre- and post-close - including Technology Due Diligence (Product Technology, IT & Cyber), IT Integrations, IT Carve-outs/Separations, and Technology/Digital Value Creation. Our work spans a wide range of industries and deal types, serving Corporate, Private Equity and Pension Fund clients alike.

Our team assists Corporate, Private Equity and Pension Fund clients with the technology dimensions of their acquisition, integration, and divestiture activities. This team supports clients in all technology-related aspects of a deal, pre- and post-completion, including:

Technology Due Diligence: Buy- and sell-side assessments of Product Technology, Software, Artificial Intelligence (AI), as well as the supporting IT systems, infrastructure, cybersecurity, and IT operations to inform/advise Private Equity and Corporate clients on technology value drivers and risks in their M&A transactions

IT Integration Advisory: Post-acquisition IT integration analysis, planning and execution, including development of Target IT Operating Models and Architectures, IT Integration strategy, IT Synergies and One-time cost analysis, Day 1 IT readiness, and buy-side IT Transaction Services Agreement (TSA) assessments. This will also include post-deal IT Transition Management Office (IT TMO) set up and running of the IT TMO to manage the IT Integration.

IT Carve-out/Separation Advisory: IT separation analysis, planning and execution, including Transitional Service Agreement (TSA) design, standalone IT cost analysis, technology disentanglement, as well as Day 1 IT planning. This may also involve IT Separation Management Office (IT SMO) set up and execution to support the client's post-deal IT carve-out and transition.

Technology/Digital Value Creation: Identification, planning and execution of technology- and digital-enabled value creation opportunities across the portfolio or enterprise. This may involve commercial and technology analysis to support a monetization event (i.e. Software Product Sale / Joint Venture) or executive advice on driving quantifiable value through technology/IT investments, pre- or post-deal.

The Opportunity

As a Technology in Deals Senior Manager, you will join a dynamic team of technology and deal professionals dedicated to helping clients navigate complex technology challenges - from strategy through execution. You will play a central role in driving technology-related value across the full deal lifecycle, and partnering with other competencies within PwC's Deals line of business to deliver measurable results in high-stakes transactions.

Your responsibilities as a Senior Manager will Include, but are not limited to the below areas:

  • Manage multiple technology-focused deal engagements across various technology value creation mandates and lead teams to successful execution
  • Develop and execute IT integration and IT separation strategies, including systems rationalization roadmaps, TSA frameworks, and standalone technology operating models
  • Manage multiple project-level stakeholders - including CIOs, CTOs, CISOs and functional technology leaders - across functions to ensure ongoing project alignment and client satisfaction
  • Develop specific industry experience with the goal of building depth and expertise in technology-related deal activities within specific sectors
  • Lead functional and cross-functional delivery teams to execute technology due diligence, IT integration, IT carve-out/separation, and digital value creation plans, monitor progress, and achieve deal objectives and value creation targets
  • Provide delivery teams with input, insight, observations and recommendations based on technology analysis, planning and execution to enhance deliverable quality
  • Provide hands-on support to delivery teams in technology due diligence analysis (Product Technology, IT & Cyber), IT integration and IT carve-out mandates, technology operating model design, and digital/technology-enabled operational improvements
  • Proactively manage scope of work efforts and project risks, and act as quality control for quantitative and qualitative technology analysis and overall deliverables
  • Manage delivery team utilization, project-specific budgets and support administrators in timely and efficient client billing
  • Support business development and pursuit activities to drive sales and revenue in the Technology in Deals practice
  • Support Technology in Deals and broader DDV leadership with firm-building activities, including talent development and performance management
  • Coach and develop team members - aligned with PwC's values - to help them grow and thrive in their roles and evolve as technology and deals professionals within the firm


As part of the transaction process, the Technology in Deals team rapidly develops a deep understanding of the target's or client's technology landscape in order to identify and assess key technology risks, IT cost structures, cyber vulnerabilities, integration complexities, and technology-enabled value creation opportunities surrounding each transaction.

What You'll Bring

We are looking for a candidate who bring the following experience and capabilities:

  • A university degree in Technology, Engineering, or a related field is preferred, along with excellent English communication and report-writing skills; business fluency in French is an asset
  • A track record of functioning as a trusted advisor to CIOs, CTOs, CISOs and senior deal stakeholders, grounded in deep competency in technology due diligence, IT integrations, IT carve-outs/separations, and/or technology/digital value creation
  • Demonstrated experience providing strategic technology advice and support to senior management, with extensive knowledge of mergers, acquisitions, and divestitures - including technology due diligence (Product Technology, IT & Cyber), IT integration planning, IT separation planning, standalone IT costing, technology synergy and cost savings analysis, and post-close technology transformation
  • Proven experience managing large, complex technology programs (e.g., global, multi-workstream IT integrations or separations) with the ability to manage multiple stakeholders across functions to deliver against deal objectives
  • Working knowledge of key technology domains such as enterprise IT infrastructure & operations, application landscapes & product technology, cybersecurity, cloud & digital platforms, ERP systems, and data & analytics
  • Demonstrated experience in one or more industry sectors, including Financial Services, Telecom, Technology/Media, Consumer Products, Energy, Industrials and Infrastructure
  • Extensive ability to develop and manage strategic client relationships while consistently delivering the highest quality work across multiple concurrent client engagements
  • Strong capability in developing both quantitative and qualitative analyses of complex technology environments combined with exceptional critical thinking skills to support recommendations and decision-making
  • Experience leading business development and pursuit activities, both internally with client pursuit teams and externally through client-facing meetings and proposal discussions
  • Proven ability to deliver the full cycle of project management responsibilities and to manage teams through complex technology engagements, including managing multiple engagements simultaneously
  • A drive to embrace AI to bring innovation, efficiency and differentiation to our clients, along with a desire to continuously upskill for a digital world, with an openness to learning new tools and adapting how you work
  • A demonstrated commitment to valuing differences, developing and coaching diverse teams, and ensuring that diverse perspectives are heard and integrated
  • The ability and willingness to travel within Canada and internationally, as required
  • Current or prior experience in areas within a Corporate M&A function, or Big 4 or Strategy M&A practice is preferred.

The salary range for this position is $150,000 - $200,000. The posted salary range represents the expected hiring range for PwC locations in major city centres. Given our national recruiting approach, ranges may vary for positions in other locations. At PwC Canada, base salary is determined by your skills, experience, qualifications and work location. In addition to base salary, eligible employees may have opportunities to participate in variable incentive pay programs which are designed to reward individual and firm-wide achievements.
