Full Job Description
SUMMARY (Brief summary of position)

Sullivan & Cromwell ("S&C") is seeking a Senior Paralegal - General Practice in the New York office. This role will provide S&C's lawyers with high-level paralegal expertise and assist with certain administrative functions regarding the paralegal department.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned.
• Assist S&C's lawyers on client matters, especially those matters requiring higher-level support.
• Support S&C's lawyers throughout the full-life cycle of corporate transactions, including capital financings, mergers and acquisitions, and public offerings.
• Assist with the formation, maintenance and dissolution of corporations, limited liability companies, limited partnerships, and other types of business entities.
• Assist lawyers with the drafting, preparation and filing of registration statements and other SEC filings.
• Assist with EDGAR and UCC searches; ordering good standing certificates; updating of corporate governance documents; due diligence reviews; and preparation of stock certificates.
• Handle various routine and administrative matters.
• Additional responsibilities and special projects may be assigned.

In addition, responsibilities related to maintaining firm and client information are to be adhered to by all employees. This includes complying with the firm's information security policies, protecting firm assets from unauthorized access, disclosure, modification, destruction or interference, and reporting security events or potential events or other security risks to management.

• Demonstrated ability to multi-task and generate quality work product in a fast-paced, deadline-oriented environment.
• Ability to collaborate with and mentor junior paralegals.
• High proficiency in Microsoft Office, Westlaw, Intelligize, Bloomberg Law and Adobe.

EDUCATION and/or EXPERIENCE
• Bachelor's degree required.
• At least five years prior paralegal working experience in-house or with a law firm required.
• New York State notary public license preferred.
• Prior leadership experience preferred.

COMPENSATION

The base salary range offered for this role will be between $115,000 and $145,000. When determining a candidate's compensation offer, elements unique to each person are taken into consideration including but not limited to skill set, experience level, performance, professional certifications, degrees and location, as well as the needs of the Firm.
