Key Responsibilities
Manage litigation, customer disputes, claims, and third-party discovery matters, engaging with outside counsel as needed.
Draft, review, and negotiate complex domestic and international commercial agreements with customers, distributors, suppliers, and other third parties.
Support mergers and acquisitions activities, including due diligence, disclosure schedule preparation and review, risk assessment, and post-closing matters.
Investigate ethics and compliance concerns and recommend appropriate resolutions.
Provide practical legal guidance on employment-related matters and workplace issues.
Support regulatory, corporate governance, securities, and SEC compliance initiatives.
Advise on corporate matters, including entity governance, intercompany transactions, capital contributions, and dividend-related activities.
Help drive continuous improvement of legal operations, records management, and legal technology systems.
Minimum Qualifications
