Job Title: Senior Director, Legal
The Senior Director, Legal has responsibilities spanning commercial contracting, securities law, project financing, permitting, employment and labour relations, First Nations agreements and enterprise legal risk management. The Senior Director, Legal is the Company's primary in-house legal resource to support the CEO, CFO and Corporate Secretary with corporate governance activities and is the internal subject-matter expert on the securities, filing and governance requirements applicable to a TSX- and NYSE-listed public company.
The position also manages the development and enhancement of legal, governance and other corporate policies and establishes and supports processes designed to improve the efficient and cost-effective delivery of legal services across the business.
This role offers meaningful scope for growth, with the potential for a high-performing candidate to, over time, assume broader responsibility for corporate governance activities, including potentially being considered to serve as Corporate Secretary.
Responsibilities (including but not limited to):
Corporate Governance, Securities & Disclosure
Assist the CFO and Corporate Secretary with corporate governance matters, including preparation and review of Board and committee materials, annual meeting materials, governance documentation and oversee corporate records management for the Company and its subsidiaries.
Manage compliance with applicable Canadian and U.S. securities laws and TSX and NYSE requirements including continuous disclosure obligations, material-change analysis, annual and interim filings, insider reporting, blackout and trading matters, and disclosure controls.
Assist with drafting and reviewing continuous disclosure documents, including the Company's Annual Information Form, MD&A, news releases and investor materials.
Manage the company's ethics and compliance program.
Review the Company's legal, governance and other corporate policies periodically, recommend improvements to leadership, and assist in the development and implementation of related training and education programs.
Commercial & Project Legal
Advise on legal matters relating to project development, including permitting and regulatory matters, First Nations agreements and obligations, and other matters affecting the development and operation of the Company's projects.
Review and interpret debt, streaming, royalty and other financing agreements, including advising on covenants, consent requirements, permitted indebtedness, liens and other restrictions.
Assist in the renegotiation, and drafting of amendments to debt, streaming, royalty and other financing agreements.
Assist in the negotiation, drafting and review of a broad range of commercial agreements. Experience with EPC/EPCM arrangements, major equipment purchases, construction contracts, power and infrastructure agreements, logistics and service contracts would be an asset.
Partner with business leaders to identify key commercial and legal risks and develop practical, commercially appropriate solutions.
Lead the resolution of contract claims and other legal disputes and provide strategic advice in relation to litigation and potential litigation.
Corporate Transactions & Strategic Matters
Assist with corporate transactions, including any potential acquisitions, divestures financings or refinancings.
Lead legal due diligence processes, including management of virtual data rooms, diligence requests and transaction workstreams.
Identify legal issues arising from proposed strategic and corporate transactions and coordinate internal and external resources required to address them.
Legal Function Management & Organizational Support
Manage external counsel, including providing instructions, coordinating specialist advice and managing legal spend.
Develop and support processes designed to improve the efficient and cost-effective delivery of legal services across the organization.
Mentor and assist other Skeena staff as a legal subject-matter expert and provide practical legal guidance across the business.
Additional Responsibilities
Travel as required to support the Company's project and operational requirements, including working from project sites or other locations from time to time.

The Ideal Candidate
Education / Qualifications
Law degree and membership in good standing with a Canadian provincial law society.
8+ years of relevant legal experience gained at a leading corporate/securities law firm, in-house legal department, or combination of both.
Experience / Skills
Strong understanding of Canadian and US securities laws, stock exchange requirements and corporate governance standards applicable to a TSX- and NYSE-listed Canadian issuer, including NI 43-101, MJDS, Foreign Private Issuer requirements and SOX compliance.
Demonstrated experience identifying and mitigating legal and commercial risks associated with major projects and complex commercial arrangements, particularly mine construction.
Significant experience advising publicly listed mining companies is strongly preferred, particularly experience supporting mine development and construction and the transition from development-stage issuer to operating producer.
Strong commercial judgment and legal skills, including contract drafting, negotiation, legal analysis and the ability to identify the issues that matter most to the business.
Ability to translate complex legal issues into clear, practical advice for executives and business leaders.
Ability to take ownership of matters, exercise sound judgment regarding when to seek specialist advice, and drive matters through to completion.
Strong written, verbal and interpersonal communication skills, with the judgment, tact and diplomacy required to work effectively with executives, directors, employees, external advisors and other stakeholders.
Ability to perform effectively in a fast-paced environment, remain composed under pressure, meet tight deadlines, and manage multiple and changing priorities.

Work Location & Conditions
This is an office-based job, in Skeena's Corporate office located in Vancouver, British Columbia on a Monday to Friday schedule. Additionally, the job is in a fast paced work environment, with having to manage multiple competing priorities. Travel to various work related locations and off-site meetings may be required. Some flexibility in work location may be considered.
Compensation
The expected salary range for this position is CAD 150 000 - 225 000 , in line with the competitive job market for such roles carried out in British Columbia. Salary ranges are guidelines and any job offer received by a candidate will be determined on a number of factors such as relevant education, training, and/or experience.
