In-House Counsel to join Ferrovial Energy's Legal Department, reporting to the Head of Legal U.S. This role will provide comprehensive legal support for the development, construction, financing, operation, and maintenance of utility-scale renewable energy projects in the U.S., with a particular focus on project finance and tax credit monetization transactions.
The position will be based in Austin, Texas.
The ideal candidate will have significant experience representing sponsors, lenders, tax equity investors, tax credit purchasers, or developers in renewable energy project finance, tax equity, and tax credit transfer transactions, with particular emphasis on utility-scale solar, battery storage, and other energy transition assets in the U.S. market.
Key Responsibilities- Provide legal support for the structuring, negotiation, execution, and management of renewable energy project financings.
- Draft and negotiate project financing documents, including credit agreements for construction-to-term loans, tax equity and tax credit transfer bridge loans, letter of credit facilities, and security documents (e.g., security agreements, pledge agreements, account control agreements, direct agreements, etc.).
- Participate in tax credit monetization structures, including Equity Capital Contribution Agreements, LLC Agreements, and Purchase and Sale Agreements for traditional tax equity partnership flip structures, as well as Tax Credit Transfer Agreements and related sponsor indemnities.
- Maintain familiarity with federal income tax rules and IRS guidance applicable to renewable energy tax credits, including FEOC/PFE rules, domestic content requirements, prevailing wage and apprenticeship requirements, and beginning of construction requirements.
- Support legal due diligence and transaction execution for project financings, tax equity investments, tax credit transfer transactions, and portfolio divestitures involving financed renewable energy assets.
- Provide legal support for post-closing financing matters, including consent requests, amendments, waivers, compliance obligations, reporting requirements, and ongoing lender and tax credit investor relations.
- Ensure compliance with applicable laws, financing documentation, tax incentive requirements and Ferrovial's internal policies.
- Collaborate with internal tax, finance, accounting, and development teams.
- Manage relationship with external legal advisers.
QualificationsEducation and required experience:- Juris Doctorate.
- Member in good standing of a US State Bar.
- Minimum 5+ years of experience in U.S. renewable energy project finance, gained at a top tier law firm and/or legal department of a renewable energy developer, independent power producer, financial institution, or infrastructure investor.
The ideal candidate will also be familiar with:- Project development contracts, including Power Purchase Agreements, EPC Agreements, O&M Agreements, Asset Management Agreement, and Major Equipment Supply Contracts.
- Real estate matters in connection with the development of greenfield projects.
- Permitting, interconnection, trade law, and energy regulatory matters.

- Excellent interpersonal written and verbal communication, decision-making, project management and negotiating skills.
- Computer proficiency in Word, Outlook, Excel, and Power Point.
