CORPORATE COUNSEL
Remote, US

JOB OVERVIEW

Legion is seeking a Corporate Counsel to provide legal support across various functions of the organization. The ideal candidate will have a strong background in contract review and negotiation, privacy and data protection rules. Reporting to the General Counsel, the Corporate Counsel will play a crucial role in helping to propel the business, promoting legal compliance, mitigating risks, and supporting the company's strategic objectives.

RESPONSIBILITIES AND DUTIES
  • Review, draft, and negotiate a wide range of commercial agreements, including software licensing agreements, SaaS agreements, vendor contracts, and partnership agreements.
  • Provide legal guidance and support to various departments, including Sales, Marketing, Product Development, and Operations, to promote compliance with applicable laws and regulations.
  • Assist in the development and implementation of corporate policies and procedures to mitigate legal risks and ensure compliance with industry standards and best practices.
  • Conduct legal research and stay updated on relevant laws, regulations, and industry trends to advise the company on legal and regulatory matters affecting its business operations.
  • Collaborate with external legal counsel on specialized legal matters, litigation, and other legal matters as needed.
  • Assist in corporate governance matters, including entity formation, corporate restructuring, and maintenance of corporate records.
  • Support the General Counsel and senior leadership team on special projects and initiatives as required.

REQUIRED SKILLS AND QUALIFICATIONS
  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction.
  • 2-4 years of experience practicing law, preferably both in a corporate legal department and also in a law firm environment.
  • Strong knowledge of contract law, commercial transactions, and intellectual property law.
  • Excellent drafting, negotiation, and communication skills with meticulous attention to detail.
  • Ability to work independently and collaboratively in a fast-paced, dynamic environment.
  • Strong analytical and problem-solving skills with the ability to think strategically and provide practical legal advice.
  • Experience in the technology industry or with SaaS products is preferred but not required.
  • High level of integrity, professionalism, and ethical conduct.

COMPENSATION & BENEFITS

Salary Range: Base Salary Range $250,000 - $300,000 + Bonus + Stock
