Full Job Description
Katten, a global Am Law 100 law firm, is seeking a highly qualified Associate to join its Tax Department in the Executive Compensation and Employee Benefits Practice Group located in New York or Washington, DC.

Candidates should have 3-5 years of experience in executive compensation and employee benefits matters, particularly with reference to corporate transactions, including due diligence in mergers & acquisitions; drafting, negotiating and counseling on executive compensation arrangements (equity, equity-based, incentive and nonqualified deferred compensation); 280G; 409A; and research and counseling on compliance with the Internal Revenue Code, ERISA, securities laws and other laws governing executive compensation and employee benefit plans. Work will primarily be transaction-related, largely for middle market M&A deals, and particularly with private equity sponsors, but Katten has a robust corporate practice, including public company representation, sports representation and venture capital work, all of which the Executive Compensation and Employee Benefits Practice Group provides valuable support to.
