Director of Contracts, Compliance & Administration

Reports To: Chief Administrative Officer (CAO)

THE OPPORTUNITY

CarverBeth is seeking an experienced and collaborative Director of Contracts, Compliance & Administration to provide leadership and oversight for the company's contracts, compliance, human resources, quality management, and corporate administrative functions.

Reporting to the Chief Administrative Officer, this position will work closely with executive leadership, Program Managers, Finance, Business Development, employees, customers, subcontractors, and strategic partners to support effective contract execution, organizational compliance, operational effectiveness, and continued company growth.

This is a hands-on leadership role suited for someone who enjoys working across functional areas and taking ownership of both strategic initiatives and day-to-day operational requirements. The Director will manage CarverBeth's government contracts and contractual relationships, strengthen compliance and internal processes, provide leadership to assigned corporate administrative staff, and help build scalable business practices as the company continues to grow.

The ideal candidate will be highly organized, possess strong attention to detail, and demonstrate the ability to manage multiple operational responsibilities in a dynamic, small-business federal contracting environment.

KEY RESPONSIBILITIES

Contracts Management & Administration
  • Lead the administration and management of CarverBeth's government contracts, task orders, subcontracts, and related contractual agreements.
  • Manage and maintain CarverBeth's portfolio of contract vehicles, including IDIQs, BPAs, GSA schedules, and other Government-wide, agency-specific, and multiple-award vehicles, ensuring compliance with vehicle-level requirements and obligations.
  • Monitor contract vehicle requirements, ceilings, ordering periods, option periods, reporting obligations, and modifications, and coordinate actions necessary to maintain eligibility and continued use of the vehicles.
  • Partner with leadership and Business Development to evaluate and support new contract vehicle opportunities and ensure existing vehicles are positioned to support future task order and business opportunities.
  • Draft, review, negotiate, administer, and maintain subcontracts, manufacturer and partner agreements, teaming agreements, Non-Disclosure Agreements (NDAs), consulting agreements, vendor agreements, and other business and contractual instruments, as applicable.
  • Review and track contract requirements, modifications, funding, deliverables, periods of performance, option periods, reporting requirements, and other contractual obligations.
  • Manage the subcontract lifecycle, including solicitation and negotiation support, execution, modifications, funding actions, renewals, option exercises, compliance monitoring, and closeout.
  • Coordinate the development, review, execution, and maintenance of teaming and strategic partner agreements, ensuring roles, responsibilities, workshare, exclusivity provisions, and other business terms are appropriately documented.
  • Manage NDAs and confidentiality agreements with customers, subcontractors, manufacturers, partners, vendors, and prospective business partners.
  • Support the review and administration of manufacturer, reseller, distributor, supplier, and other partner agreements, coordinating with leadership and appropriate stakeholders on business and contractual terms.
  • Maintain accurate and complete contract and agreement files, including executed agreements, amendments, modifications, correspondence, approvals, and supporting documentation.
  • Ensure contractual requirements, obligations, restrictions, deadlines, and changes are communicated to appropriate internal stakeholders.
  • Coordinate with Program Managers, Finance, Business Development, customers, subcontractors, partners, manufacturers, vendors, and Contracting Officers on contractual matters.
  • Monitor contractual commitments and identify potential issues related to performance, compliance, funding, scope, terms and conditions, or contractual risk.
  • Identify and assess contractual risks and provide guidance and recommendations to leadership, Program Managers, and other stakeholders regarding contractual requirements and business considerations.
  • Support contract and subcontract modifications, renewals, option exercises, extensions, terminations, and closeout activities.
  • Assist with the development and continuous improvement of contract administration processes, templates, tracking tools, and internal controls to support consistent and compliant contract management.

Human Resources & Talent Management
  • Provide leadership and oversight of HR operations, talent management, employee relations, and workforce compliance.
  • Support talent acquisition, onboarding, retention, workforce planning, and employee development initiatives.
  • Provide guidance to managers and employees on employee relations, performance management, corrective actions, professional development, and other workplace matters.
  • Oversee HR policies, procedures, benefits administration, employee communications, and maintenance of appropriate employment documentation and records.
  • Monitor and support compliance with applicable federal, state, and local employment and labor laws and regulations, including requirements related to wage and hour, leave, workplace accommodations, equal employment opportunity, anti-discrimination and harassment, and other employment practices.
  • Support compliance with applicable employment requirements associated with federal contracting, including relevant labor standards, affirmative action, and other contractor obligations, as applicable.
  • Review and recommend updates to HR policies, practices, and procedures based on changes in employment laws, regulations, organizational needs, and industry best practices.
  • Partner with leadership and managers to promote consistent application of HR policies and sound employment practices across the organization.
  • Identify potential employee relations, employment law, and compliance risks and coordinate with executive leadership and/or outside legal counsel when appropriate.
  • Serve as an escalation point for sensitive or complex employee and HR matters requiring management review.
  • Support employee investigations, disciplinary matters, terminations, and other significant employment actions in coordination with management and legal counsel, as appropriate.

Compliance & Quality Management
  • Oversee corporate compliance and quality management within assigned areas of responsibility.
  • Ensure applicable processes align with ISO 9001:2015, CMMI, contractual requirements, and company policies.
  • Maintain documentation and records required for audits, assessments, and contract compliance.
  • Support compliance with applicable FAR/DFARS, labor regulations, and contractual requirements.
  • Coordinate audits and assessments and track corrective actions through resolution.
  • Identify compliance risks and support continuous process improvement.

Corporate Administration & Leadership
  • Provide leadership, direction, and oversight to assigned corporate administrative staff.
  • Establish priorities, expectations, and accountability for assigned responsibilities.
  • Oversee day-to-day corporate administrative support activities and ensure effective coordination across functional areas.
  • Serve as an advisor and escalation point for contracts, compliance, HR, and administrative matters.
  • Support executive communications, Board updates, management reviews, and strategic planning activities.
  • Identify opportunities to improve internal processes, controls, and operational effectiveness.

QUALIFICATIONS

Education & Experience
  • Bachelor's degree in Business Administration, Contracts Management, Human Resources, or a related field preferred; equivalent professional experience may be considered.
  • 7+ years of progressive experience in contracts management and administration, federal acquisition, commercial contracting, compliance, corporate operations, or related functions.
  • Demonstrated experience managing and administering a variety of contractual agreements, including government contracts, subcontracts, teaming agreements, manufacturer and partner agreements, NDAs, vendor agreements, and other commercial or business agreements.
  • Experience negotiating contractual and business terms with teaming partners, subcontractors, manufacturers, vendors, and other strategic business partners, including terms related to workshare, roles and responsibilities, exclusivity, pricing, intellectual property, confidentiality, risk allocation, and other key provisions.
  • Strong understanding of government and commercial contracting principles, practices, and contract lifecycle management.
  • Working knowledge of the federal acquisition and contracting environment, including experience interpreting applicable contractual and regulatory requirements.
  • Demonstrated ability to review, interpret, negotiate, and communicate contract terms and conditions, identify contractual risks, and recommend appropriate courses of action to leadership.
  • Experience collaborating with customers, Contracting Officers, Program Managers, Finance, Business Development, legal counsel, subcontractors, teaming partners, manufacturers, and other internal and external stakeholders.
  • Experience supporting contract negotiations, modifications, renewals, option exercises, extensions, and closeout activities.
  • Leadership or supervisory experience preferred.
  • Experience with ISO, CMMI, or similar quality and compliance frameworks preferred.
  • Experience within a government contractor, commercial organization, manufacturer, technology company, professional services firm, or similar contracting environment preferred.
  • Experience supporting organizations with a mix of government and commercial contracts and strategic business partnerships is a plus.
