Director, Corporate Transaction Tax & Advisory, EMEA (CTTA)

The Team

A&M's Corporate Transaction Tax & Advisory (CTTA) team is composed of seasoned tax professionals experienced in providing practical tax advice to corporate buyers and sellers throughout the transaction life cycle. By utilizing an integrated approach with A&M professionals with deep operating and financial-related experience, the team uses a focused and tailored approach to rapidly identify and understand potential deal breakers, value drivers, and other areas of specific interest to our clients. Our professionals advise on all aspects of M&A, including structuring, due diligence, and post-deal integration, as well as core tax planning matters such as internal restructurings, tax attribute modeling and planning, and other strategic initiatives - helping clients navigate complex transactions and optimize outcomes. The team has significant experience supporting both buy- and sell-side transactions across industries including healthcare, financial institutions, energy, technology, and consumer products.

How You Will Contribute

As a member of the A&M CTTA EMEA team, you will:
  • Lead the delivery of complex international tax planning and transaction advisory engagements for U.S.-headquartered multinational groups operating across EMEA jurisdictions.
  • Advise on the tax implications of global separations, carve-outs, divestitures, acquisitions, reorganizations, and post-merger integration initiatives, with a focus on EMEA structuring and implementation.
  • Design and oversee tax-efficient structures for cross-border transactions, considering local-country requirements, treaty networks, withholding taxes, participation exemption regimes, and tax-neutral reorganization provisions.
  • Provide strategic guidance on holding company structures, financing arrangements, repatriation planning, legal entity simplification initiatives, and broader corporate transformation projects across EMEA.
  • Lead the evaluation and implementation of transaction structures impacted by OECD Pillar Two (GloBE) rules and other emerging international tax developments.
  • Direct multi-jurisdictional teams and coordinate with local-country advisors, legal counsel, and A&M professionals to deliver practical, commercially focused transaction solutions.
  • Oversee international tax due diligence efforts, identifying risks and opportunities and developing actionable recommendations for clients.
  • Review and advise on tax provisions within transaction agreements and legal documentation.
  • Develop and mentor junior professionals while fostering collaboration across international, federal, state and local, financial due diligence, and operational consulting teams.
  • Build, cultivate, and maintain senior-level client relationships; serve as a trusted advisor to multinational corporate clients and private equity sponsors.
  • Support business development activities, including proposal development, thought leadership initiatives, networking, and identification of new client opportunities.
Qualifications
  • Law degree with a tax specialization required (from a European jurisdiction preferred); LL.M. in International Tax Law, European Tax Law, or related discipline preferred.
  • At least 7 years of relevant international tax experience gained at a leading law firm, Big Four firm, or other tax advisory practice within Europe.
  • Significant experience advising multinational corporations on cross-border M&A, carve-outs, divestitures, global restructurings, and post-merger integration initiatives.
  • Strong understanding of holding company regimes, tax-neutral merger and demerger rules, participation exemption regimes, treaty planning, and withholding tax considerations across key EMEA jurisdictions.
  • Experience coordinating and delivering tax advice across multiple jurisdictions and managing complex international workstreams.
  • Familiarity with OECD Pillar Two (GloBE) rules and broader international tax developments impacting multinational groups.
  • Strong business judgment and ability to translate complex technical tax considerations into actionable commercial recommendations.
  • Demonstrated leadership, client relationship management, and project management capabilities.
  • Ability to leverage emerging technologies (e.g., AI-enabled tools) to enhance analysis, workflow efficiency, and client deliverables.
  • Strong communication, presentation, and business development skills, with the ability to engage effectively with senior executives and stakeholders.
  • Strong sense of personal initiative and ability to thrive in a fast-paced, entrepreneurial, and client-service-oriented environment.

The salary range is $175,000 - $225,000 annually, dependent on several variables including but not limited to education, experience, skills, and geography. In addition, A&M offers a discretionary bonus program which is based on a number of factors, including individual and firm performance. Please ask your recruiter for details.
