Opportunity at a Glance

Covista is seeking a mid-level to experienced attorney to join its Legal Department. Reporting to and partnering closely with the Sr. Counsel, Real Estate & Transactions, this role will focus on commercial contracts and real estate matters, with a strong emphasis on continuous contract process improvement.

Responsibilities
  • Review, revise, and negotiate a broad range of commercial agreements with service providers (including information technology, marketing and advertising services, SaaS, AI product providers, business process outsourcing, Ed tech services), working collaboratively and cross-functionally with procurement professionals, business stakeholders, and company SMEs.
  • Advise procurement team and business stakeholders on contract interpretation matters, vendor relationship issues, and resolution of vendor disputes.
  • Provide support on real estate matters for five Title IV institutions located in the United States and the Caribbean, as well as the corporate real estate portfolio in the United States. Real estate work will include drafting, review, and negotiation of lease-related documents (tenant estoppel certificates, SNDAs, lease amendments, use and license agreements) as well as contracts with architects, engineers, general contractors, brokers, and other service providers.
  • Take a lead role in the development, implementation, and maintenance of commercial contract and real estate templates, playbooks, negotiation guides, clause libraries, and other business guidance documents, with a focus on process improvement and technology adoption.
  • Establish positive relationships and work collaboratively with others to achieve desired objectives across the organization.
  • Support special projects and strategic initiatives as requested.

Qualifications
  • J. D. from an accredited law school required.
  • 4+ years prior experience as an attorney practicing in a law firm required or corporate in-house legal experience required.
  • Experience drafting and negotiating complex agreements required.
  • Experience directly advising clients required.
  • Experience with creating contract templates, playbooks, negotiation guides, and other contract review tools preferred.
  • Proven ability to collaborate across legal, business, and operational functions to drive continuous improvement initiatives throughout the contract lifecycle preferred.
  • Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity.
  • Exemplary analytical and interpretation skills; strong legal research, writing, negotiation and organizational skills.
  • Ability to effectively communicate and interact with clients at all levels of the organization, including senior management.
  • Must be able to exercise sound judgment and work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail.
  • Possesses strong work ethic and customer service orientation and ability to prioritize conflicting demands from multiple business clients.
  • Must be in good standing with the Illinois State bar required.


Additional Information

In support of the pay transparency laws enacted across the country, the expected salary range for this position is between $140,000 and $160,000. Actual pay will be adjusted based on job-related factors permitted by law, such as experience and training; geographic location; licensure and certifications; market factors; departmental budgets; and responsibility.
