Responsibilities

  • Review and negotiate a variety of commercial contracts, including SOWs and purchase orders.
  • Evaluate key contract provisions to assess associated risks.
  • Identify and develop alternatives for contractual and commercial risks.
  • Collaborate with Legal Counsel on complex legal issues and disputes.
  • Support resolution of warranty claims and commercial disputes.
  • Partner with various departments throughout the negotiation process.
  • Maintain accurate records of contract negotiations and deviations.
  • Develop contract playbooks and improve commercial practices.

Contracts Manager - Data Center Technologies

Help Shape the Contracts Behind Critical Data Center Projects

Munters is looking for an experienced Contracts Manager to support our Data Center Technologies business. This role will lead the review, negotiation, and management of complex commercial agreements while partnering closely with Sales, Project Management, Operations, Finance, and Legal.

What You'll Do
  • Review, redline, negotiate, and manage customer contracts, master agreements, purchase orders, subcontracts, SOWs, amendments, and related commercial documents.
  • Evaluate key provisions including liability, indemnification, warranties, liquidated damages, termination, intellectual property, payment, insurance, and delivery obligations.
  • Identify contractual and commercial risks and develop practical alternatives and fallback positions.
  • Partner with Legal Counsel on significant legal issues, unusual risk exposure, disputes, and contract deviations.
  • Review purchase orders against governing agreements and identify conflicting or additional terms.
  • Support responses to warranty claims, delay notices, liquidated damages claims, and other commercial disputes.
  • Partner with Sales, Operations, Project Management, Finance, and leadership throughout negotiations.
  • Maintain contract records, negotiation history, approvals, and documentation of material deviations.
  • Develop and maintain contract playbooks, clause libraries, approval matrices, and negotiation guidelines.
  • Identify recurring contract risks and recommend improvements to commercial practices.


What We're Looking For
  • Bachelor's degree in business, Finance, Supply Chain, Construction Management, Legal Studies, or a related field; equivalent experience may be considered.
  • 5+ years of commercial contract review, negotiation, or contract management experience.
  • Experience independently reviewing and redlining complex commercial agreements.
  • Strong understanding of contractual risk allocation, including:
    • Limitation of liability
    • Indemnification
    • Warranties
    • Liquidated damages
    • Intellectual property
    • Termination and cancellation
  • Strong commercial judgment and ability to translate complex contract language into practical business decisions.
  • Excellent written communication, negotiation, and relationship-building skills.
  • Ability to manage multiple negotiations and competing priorities.
  • Experience in manufacturing, engineering equipment, construction, data centers, HVAC, industrial equipment, or project-based environments is preferred.
  • Contract management training or certification is a plus.


Travel Required

Travel is required to support customer negotiations, business meetings, and project needs.
