Position Summary

Guggenheim Investments is seeking a highly motivated junior Restructuring Attorney to join our Legal Transactions team. The role will involve advising on stressed and distressed matters, liability management transactions, out-of-court restructurings, bankruptcies and related financings, as well as reviewing and negotiating transaction documents, assessing legal and structural risks, and partnering closely with investment, trading, compliance, and operations teams. The role will also involve providing support on a wide range of credit-related matters across the platform as needed.

The role is based in our New York City office.

Responsibilities

Key Responsibilities:

  • Support in-court and out-of-court restructurings, including chapter 11 cases, liability management transactions, exchange offers, and amendments and waivers
  • Draft, review and analyze cooperation agreements, Transaction Support Agreements, credit agreements/indentures, and other legal documents
  • Coordinate with internal stakeholders (e.g., Compliance, Legal, Tax, Accounting, Operations) regarding restructuring transactions and processes
  • Provide ongoing legal support for credits post-restructuring, including, but not limited to,  amendments, waivers, and related matters
  • Manage the NDA and non-reliance letter process, including review, negotiation, and execution
  • Review amendments, waivers, and consents on existing credits including assisting with liability management review and analysis
  • Oversee and manage outside counsel

Qualifications

Basic Qualifications:

  • JD Required; admitted to the New York Bar
  • 2-4 years of experience at a top law firm or in-house platform, with meaningful exposure to bankruptcy, restructuring, or special situations matters
  • Strong working knowledge of:
    • Chapter 11 process
    • Creditor rights and remedies
    • Intercreditor arrangements
    • Liability management transactions (dropdowns, uptiers, exchanges, priming)
  • Experience reviewing and negotiating:
    • Credit agreements
    • Intercreditor Agreements
    • Indentures
    • Cooperation Agreements
    • Restructuring Support Agreements
  • Excellent drafting, issue spotting, and written communication skills
  • Strong academic credentials

Salary Range

Annual base salary between

$135,000.00-$145,000.00

The base salary range represents the low and high end of the anticipated base salary range for this position. Actual base salaries may vary depending on factors such as location and experience. The range listed reflects base salary only, and the total compensation package may include other components such as incentive compensation.
