About the jobWe9re seeking an Assistant General Counsel to serve as a senior, hands-on legal leader for Videojet and affiliated Product Quality businesses. This role will own a broad portfolio of legal counseling, strategy, risk management, and process improvement across multiple business units, while partnering directly with senior commercial, operational, and functional leaders.
This is not a narrow advisory role. The successful candidate will both set strategy and do the work-providing practical legal guidance, managing complex matters, improving legal processes, and helping the business move with speed, confidence, and integrity. The role offers meaningful leadership responsibility today, with runway to grow as the Water Quality legal function continues to scale across Veralto9s global platform. This position reports to Veralto9s Vice President and General Counsel, Marking and Coding Businesses, and will require periodic time at Videojet9s headquarters in Wood Dale, Illinois.
This is a hands-on leadership role for someone who is energized by solving complex legal problems and driving practical business outcomes. In this role, you will:
- Serve as a senior, hands-on legal partner to Videojet and affiliated Marking and Coding businesses, providing practical counsel across commercial, operational, regulatory, compliance, litigation, and employment matters
- Own and drive legal strategy and execution for assigned business units, balancing risk management with business speed and commercial objectives
- Lead complex legal matters directly, while knowing when to leverage outside counsel or enterprise subject matter experts
- Build and improve scalable legal processes, policies, and tools that increase consistency, efficiency, and business enablement across the Marking and Coding businesses and the Product Quality and Innovation segment
- Coordinate with Veralto counsel and subject matter experts across the enterprise to ensure alignment on legal positions, policies, and shared matters
- Lead the negotiation, drafting, and review of complex commercial agreements including customer contracts, supply agreements, distribution agreements, licensing arrangements, and strategic partnerships to protect Videojet9s commercial interests
- Deliver clear, actionable legal advice to business leaders on matters including contract risk, commercial disputes, regulatory compliance, and operational exposure
- Partner with the sales and procurement teams to develop and maintain standard contract templates, playbooks, and fallback positions that accelerate deal velocity while managing legal risk
- Advise on and support compliance with applicable laws and regulations, including data privacy, trade compliance, product liability, and industry-specific regulatory requirements
- Manage and coordinate with outside counsel on litigation, disputes, regulatory matters, and specialized legal projects, ensuring cost-effective and timely resolution
- Support intellectual property strategy by advising on IP ownership, licensing, confidentiality, and protection of Videojet9s proprietary technologies and brands
- Collaborate with HR and business leadership on employment-related matters, policy development, and workplace compliance across jurisdictions
- Identify and escalate emerging legal risks and trends that could impact Videojet9s business strategy, helping leadership make informed decisions proactively
- Contribute to the development and delivery of legal training programs for internal stakeholders to build legal literacy and compliance awareness across the organization
- Provide counsel on customer, vendor, joint development, and other commercial agreements to protect business interests and enable commercial growth
- Support mergers, acquisitions, and open innovation initiatives, partnering with business development teams from due diligence through integration
- Champion regulatory compliance, product and performance liability, labor and employment, and anticorruption compliance across assigned business units
The essential requirements of the job include: - J.D. from an accredited law school and active U.S. state bar membership in good standing
- Minimum of 10 years of experience as a practicing attorney
- Demonstrated experience providing in-house legal counsel across multiple practice areas, including contracts, litigation, labor and employment, and regulatory compliance
- Proven ability to manage outside counsel and handle complex, multi-jurisdictional legal matters
- Experience supporting mergers, acquisitions, and open innovation transactions from due diligence through close
- Strong business acumen and the ability to quickly learn business drivers and translate legal risk into practical, actionable guidance
- Flexibility to occasionally accommodate other time zones as part of our global legal setup
- Willingness to travel occasionally as business needs require (estimated 10-15%)

Preferred Qualifications These are nice-to-have skills that will set candidates apart:
- Experience in the marking and coding or industrial manufacturing industries
- Experience in regulated industries
- Familiarity with anticorruption program design and implementation, including the FCPA, UK Bribery Act, or equivalent frameworks
- Background in labor and employment law across multiple jurisdictions, including the EU and Latin America
- Experience working in a global, matrixed corporate legal environment

Educational & Experience Requirements Strong academic credentials required. A mix of law firm and in-house corporate legal department experience is preferred. Candidates should have substantive experience across corporate and commercial legal matters, including drafting, reviewing, and negotiating contracts; competition law; compliance; and related business counseling. Experience with software legal matters is preferred. Fluency in spoken and written English is required.

This range may be modified in the future. An associate9s position within the salary range will be based on several factors, including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs.
The compensation range for this role is $180,000 - $210,000 USD per year. This job is also eligible for Bonus Pay.
