How you'll make an impact:The Vice President, Corporate and Transactions Counsel will serve as a senior legal leader responsible for advising on and leading the execution of the company's most significant corporate development and financing transactions. This role will partner closely with executive leadership to structure, negotiate, and execute complex deals, including mergers and acquisitions, joint ventures, partnerships, and other business initiatives. The position requires deep expertise in transaction structuring, negotiation strategy, and legal risk management, as well as the ability to guide cross-functional teams through all phases of the deal lifecycle.
What you'll do:- Lead legal for capital markets and financing activities, including debt financings, and securities offerings.
- Serve as a senior legal leader responsible for advising on the company's corporate development strategy, including mergers and acquisitions, joint ventures, partnerships, investments, and other complex commercial and transactions.
- Lead the legal structuring, negotiation, and execution of significant corporate transactions, including term sheets, letters of intent, purchase agreements, joint venture and partnership agreements, investment agreements, and other transaction documentation.
- Oversee legal due diligence for transactions, directing internal teams and external counsel to identify material legal, regulatory, and commercial risks and opportunities.
- Partner closely with senior leaders across corporate development, business development, finance, tax, compliance, and operations to evaluate strategic opportunities, structure transactions, and drive successful deal execution.
- Advise on corporate governance matters related to investments, including shareholder arrangements, equity issuances, and corporate structuring.
- Build and manage relationships with external legal advisors, and consultants, ensuring efficient coordination and high-quality support for complex transactions.
- Develop and implement best practices, playbooks, and processes to support a high-performing legal transactions function.

What you'll need:- Typically requires 12 or more years of legal experience advising on mergers and acquisitions, corporate transactions, and strategic deal structuring, including experience at a leading law firm and/or in-house at a technology, media, or high-growth organization.
- 8-10 years of people leadership, with a track record of building, coaching, and scaling high-performing teams.
- Juris Doctor (JD) from an accredited law school and active membership in at least one U.S. state bar in good standing.
- Experience leading legal for capital markets and financing activities, including debt financings, and securities offerings.
- Demonstrated experience leading and executing complex transactions, including mergers and acquisitions, joint ventures, partnerships, and other corporate development initiatives.
- Deep expertise in structuring, negotiating, and executing sophisticated commercial and corporate agreements, with the ability to balance legal risk with business objectives.
- Proven ability to partner with senior executives and cross-functional leaders to support corporate growth initiatives and strategic decision-making.
- Exceptional negotiation, drafting, and analytical skills, with the ability to translate complex legal issues into clear, actionable business guidance.
- Experience managing multiple high-impact transactions simultaneously in a fast-paced, dynamic environment.
- Strong business judgment, executive presence, and stakeholder management skills, with the ability to influence outcomes across senior leadership teams.
- Experience managing outside counsel and coordinating cross-functional deal teams including finance, tax, compliance, and corporate development stakeholders.
- Experience with automation and/or AI tools such as ChatGPT, Gemini, etc.
- Must have legal right to work in the U.S.
At SiriusXM, we carefully consider a wide range of factors when determining compensation, including your background and experience. These considerations can cause your compensation to vary. We expect the base salary for this position to be in the range of $254,200 - $320,300 and will depend on your skills, qualifications, and experience.
