Job Summary

Reporting to the leader of the Transactional Center of Expertise (COE), the Transactional and Commercial Counsel is a key member of the Law and Business Environment (LBE) team, responsible for providing legal support across commercial transactions and sales-related commercial activities. This role combines core transactional contracting with adjacent commercial responsibilities that sit at the intersection of products, sales support, contracts, and external-facing business communications. The position partners closely with sales, product, marketing, and compliance stakeholders. The successful candidate will independently manage sales and distribution transactions while advising on commercial issues and go-to-market materials, ensuring alignment between contractual commitments, product and sales performance, and external representations. The Transactional and Commercial Counsel will provide day-to-day legal support for commercial marketing and services initiatives across the business to enable business and sales objectives while managing legal and regulatory risk. The successful candidate will independently handle core commercial and marketing workstreams, draft and review non-standard agreements and warranties, support regulated marketing issues, and work with senior counsel on novel and high-risk matters.

This role follows a hybrid work model, with an expectation of working onsite 3 days per week to support collaboration and business objectives.

Key Tasks & Responsibilities (Essential Functions)

Transactional Support
  • Draft, review, and negotiate a variety of commercial agreements, including nondisclosure agreements, global sales-related contracts (customer/partner agreements, sales agency agreements, distribution agreements, reseller agreements, OEM agreements, other channel agreements, etc.), professional/master services agreements, statements of work, and related documents.
  • Assist with the development, use, and refinement of standard templates, fallback positions, and contracting standards.
  • Advise business teams on contract strategy, negotiation positions, and risk allocation.


Commercial Support
  • Draft, review, and support standard and non standard product warranties.
  • Review and advise on product and sales documentation, including marketing materials, such as brochure and sell sheets, product warnings and instruction sheets, websites, and other launch materials.
  • Support government contract needs as necessary.
  • Provide legal support on product adjacent regulatory matters as requested by compliance partners.
  • Review print and digital marketing and advertising materials, including website materials, social media posts, case studies, and white papers for legal and regulatory compliance.
  • Review press releases and external product and sales communications.
  • Draft and review terms and conditions for incentive programs, rebates, discounts, and promotional programs and offerings.
  • Support regulated or compliance driven marketing issues, including claim substantiation and disclosure requirements.


Problem-Solving & Judgment Expectations
  • Identify non standard issues, material deviations from approved positions, novel regulatory questions, or matters with broader risk implications.
  • Collaborate with senior counsel and business stakeholders and provide clear analysis and recommended paths forward.


Skills and Minimum Experience Required

  • Juris Doctor (JD) with 6-8 years of relevant legal experience, preferably in contracting, commercial, and sales support, and/or marketing/advertising law.
  • Experience with the manufacturing or product-related industry preferred.
  • Strong drafting skills, sound legal judgment, and a practical, business oriented mindset.
  • Ability to manage multiple matters and prioritize in a fast paced environment while maintaining attention to detail.
  • Effective communicator who collaborates well with cross functional partners and understands when to escalate issues.
  • Comfortable working a hybrid schedule, including regular onsite presence 3 days per week to support collaboration and business needs.
  • Ability and willingness to travel up to 10% domestically and internationally as business needs require.
