Job Description:

The Senior Associate in Tax Transaction Advisory plays an important execution role in delivering high-quality transaction-related tax services. This position is responsible for owning assigned engagement workstreams, performing tax due diligence and transaction analyses, drafting client deliverables, and coordinating engagement activities under the guidance of managers and senior leaders. The role requires growing technical depth, strong analytical and writing skills, attention to detail, and the ability to perform effectively in a fast-paced, team-oriented environment.

Key Responsibilities

  • Participates in multiple transaction engagement teams and owns assigned workstreams supporting tax due diligence, structuring, and advisory services for mergers, acquisitions, dispositions, and restructurings undertaken by private equity sponsors and corporate acquirers
  • Reviews tax returns, workpapers, financial information, data-room materials, and other supporting documentation to identify relevant facts, tax attributes, exposures, and planning opportunities
  • Performs tax research and quantitative analyses, evaluates identified issues with guidance as needed, and clearly documents assumptions, procedures, and conclusions
  • Drafts information requests, diligence report sections, issue summaries, technical memoranda, and other client-ready deliverables for review by managers and senior engagement leaders
  • Reviews tax provisions in merger and purchase agreements and analyzes tax-related assumptions and calculations in financial models, supporting the assessment and quantification of transaction impacts
  • Manages assigned work plans, data requests, trackers, deliverables, and hours; communicates progress and proactively flags missing information, scope changes, delays, or technical concerns
  • Coordinates with client personnel, target-company representatives, and domestic and international specialists to gather facts, validate information, and integrate findings into engagement deliverables
  • Participates in client and diligence calls, communicates assigned findings clearly, and begins developing effective working relationships with clients and other engagement stakeholders
  • Provides task-level guidance and feedback to associates and interns and contributes to team knowledge sharing, training, and continuous improvement
  • Performs additional responsibilities as business needs require

Leadership & Supervision

  • Provides task-level direction and review to associates and interns on assigned workstreams, monitors completion and quality, and seeks guidance from managers on significant technical, timing, or performance matters

Required Qualifications:

  • Bachelor's degree in Accounting, Finance, Tax, or related field required
  • Eligibility and willingness to obtain a CPA, EA, JD, LLM, or other relevant professional credential consistent with firm policy required
  • Minimum of two (2) years of experience in a professional services, public accounting, corporate tax, or law firm environment
  • At least one (1) year of direct experience in tax transaction advisory services or comparable mergers and acquisitions tax, corporate income tax, or transaction-related tax work
  • Demonstrated experience managing assigned workstreams, meeting competing deadlines, and producing accurate, well-supported work products required
  • Proficiency with Microsoft Excel, Word, and PowerPoint required

Preferred Qualfications:

  • Active CPA license, U.S.-admitted attorney status, IRS Enrolled Agent (EA), or advanced degree such as a JD, LLM - Tax, or Master's in Accounting or Taxation preferred
  • Additional relevant certifications, transaction experience, or professional designations are a plus

Technical Skills & Core Competencies

  • Demonstrated ability to manage assigned workstreams across multiple concurrent engagements and deliver high-quality work within transaction timelines
  • Strong research, analytical, written, and verbal communication skills, with the ability to summarize technical tax matters clearly and concisely
  • Working knowledge of U.S. federal income tax matters and familiarity with state, local, and international tax considerations relevant to transactions
  • Foundational knowledge of non-income-based taxes, including indirect, payroll, property, and other transactional tax regimes
  • Understanding of U.S. GAAP fundamentals, including accounting for income taxes, and the relationship between tax information and financial statements
  • Sound judgment, professional curiosity, and attention to detail, with the ability to identify issues, ask effective questions, and escalate matters appropriately
  • Willingness and ability to travel as business needs dictate

The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Crowe, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $75,500.00 - $149,600.00 per year. This role follows a hybrid work model for candidates located near a Crowe office. Candidates who are not within commuting distance of a Crowe office may be considered for a remote work arrangement, subject to business needs.
