Position: System In-House Counsel
Reports To: System Chief Executive Officer
Location: Corporate Office, Johns Creek, GA

Position Overview
The System In-House Counsel serves as the primary legal advisor to Tenor Health
Foundation, providing practical, business-oriented legal guidance across all aspects of a
growing multi-state nonprofit healthcare system. This executive-level position partners
closely with the CEO, executive leadership team, and external legal counsel to ensure the
organization operates in compliance with applicable federal and state laws while
supporting strategic growth initiatives.

Key Responsibilities
Legal Counsel & Strategy
• Serve as the primary legal advisor to executive and hospital leadership.
• Provide practical legal guidance supporting strategic, operational, and financial
decisions.
• Manage legal risk and oversee outside counsel.

Healthcare Compliance
• Advise on federal and state healthcare laws, including CMS, HIPAA, Stark Law, Anti
Kickback Statute, EMTALA, Medicare, Medicaid, and the False Claims Act.
• Support regulatory compliance, accreditation, licensing, and policy development.

Labor & Employment
• Counsel leadership on employment law, labor relations, collective bargaining,
investigations, executive agreements, and workforce matters.
• Partner with Human Resources to ensure compliant employment practices.
Corporate Governance & Contracts
• Support nonprofit governance, Board matters, and system policy development.
• Draft, negotiate, and review physician, employment, vendor, technology, real estate,
and other commercial agreements.

Mergers, Acquisitions & Risk Management
• Provide legal support for acquisitions, affiliations, joint ventures, and other strategic
transactions.
• Oversee litigation, claims management, system risk, and regulatory investigations.
• Lead legal counsel and lead due diligence for mergers, acquisitions, affiliations,
divestitures, and other strategic transactions, with demonstrated experience
supporting acquisitions of financially distressed organizations, restructuring efforts,
and turnaround initiatives.

Privacy & Information Security
• Advise on HIPAA, data privacy, cybersecurity, breach response, and information
governance.

Requirements

Qualifications
• Juris Doctor (J.D.) and active State Bar membership required.
• Minimum 10 years of legal experience, preferably within a hospital or integrated
health system.
• Expertise in healthcare regulations, employment law, labor relations, contracts,
corporate governance, litigation, compliance, and healthcare transactions.
• Experience supporting executive leadership and Boards of Directors.
• Multi-state healthcare and nonprofit experience preferred.
Education
• J.D. from an accredited law school.
• Active State Bar membership required.
• Georgia Bar admission or eligibility for authorized in-house counsel status preferred.
Physical Requirements
• Professional office environment with occasional standing, walking, and computer
work.
• Ability to travel approximately 10-20% across the health system.
