Job Description:Essential Responsibilities: - Lead the preparation and management of complex cases, including high-volume litigation and corporate transactions.
- Provide strategic input during case planning, research, and pre-trial preparations.
- Draft, review, and manage critical legal documents with minimal legal counsel oversight.
- Oversee and coordinate discovery processes, including document production and e-discovery management.
- Train, mentor, and review work of junior paralegals and support staff.
- Maintain direct client relationships, managing expectations and ensuring superior service quality.
Minimum Qualifications:- 7 years of relevant work experience
- Bachelors' degree or paralegal certificate (ABA approved) is required.
Additional Responsibilities & Preferred Qualifications:- Responsible for day-to-day management of corporate governance matters for domestic and international subsidiaries, including:
- Managing corporate entity database and outside local counsel
- Preparing corporate minutes and resolutions, powers of attorney, and other required documentation
- Preparing and maintaining certain regulatory filings, and working with outside vendors to ensure timely applications and renewals
- Maintaining corporate entity records and entity organization charts
- Supporting legal entity formation, merger, or dissolution processes
- Work closely with treasury, tax, finance, and local counsel with respect to international corporate governance matters.
- Assist in preparation and filing of SEC reports including Section 16 reports, proxy statement, Forms 10-Q, 10-K, 8-K
- Assist in planning and execution of annual stockholders meeting
- Support licensing, compliance, and KYC teams in responding to document and information requests
- Provide support for mergers and acquisitions and equity investments as needed, including due diligence, agreements, certificates, checklists and other documents.
Additional Responsibilities & Preferred Qualifications:
- Bachelors' degree or paralegal certificate is required, in-house experience is a plus.
- At least 5+ years of experience with a concentration in international subsidiary management/corporate governance. Proficient with Microsoft Office suite (Word, Excel, PowerPoint, OneNote) and SharePoint. Experience with specialized database management programs (e.g., Diligent) a plus.
- Notary license is a plus.
- Experience with M&A and equity investments a plus.
- Well-organized, strong attention to detail, superior work product and excellent written and oral communication skills.
- Ability to operate independently in a fast paced work environment and manage numerous projects simultaneously under deadline pressure.
- Flexibility and willingness to work extended hours when necessary to complete projects in a timely manner and to accommodate working hours of local jurisdictions.
- Excellent interpersonal skills and ability to work well with cross-functional teams, including finance, tax, global stock team, human resources, as well as outside law firms and auditors.
- Team oriented, with a strong sense of humor, integrity and sound judgment.
