JOB SUMMARY:

This role will require four days per week on site at the Envista Corporate Headquarters in Orange County, California.

The Senior Counsel will be a member of Envista's in-house legal leadership team, representing the company's broad portfolio of dental businesses and providing legal support to Envista's global commercial operations. This lawyer will report to the operating company General Counsel and will serve as Senior Legal Counsel for Kerr, Metrex and Orascoptic (KMO) businesses globally, as well as Envista's Implant businesses (Implant Direct and Nobel Biocare) in North America.

The Senior Counsel will be responsible for partnering with business clients and other members of the global in-house legal and compliance team to provide effective legal support in areas including, but not limited to, contracts, compliance, marketing, and competition. This lawyer will support cross-functional teams and may supervise outside counsel, providing specialized advice on transactions or matters requiring additional support domestically and outside the U.S.

PRIMARY DUTIES AND RESPONSIBILITIES:
  • Gain a solid understanding of the Kerr, Metrex, Orascoptic, and North America dental Implants businesses to identify appropriate legal strategies to facilitate the businesses' goals and minimize challenges
  • Work collaboratively with the Envista and portfolio business legal and compliance teams to counsel, structure, negotiate, and document transactional matters for the Kerr, Metrex, and Orascoptic businesses globally, as well as the dental Implants businesses in North America, including support for inorganic transactional activity
  • Manage and work collaboratively with outside counsel, as required
  • Advise on day-to-day general compliance questions and questions under local civil, commercial, corporate, healthcare, conflicts of interest, data protection, and privacy laws
  • Perform legal research and analysis, and communicate it in a business-effective manner
  • Draft legal documents, including contracts, licenses, letters, and related business correspondence
  • Report and respond to the operating company General Counsel, and work closely with colleagues globally, including other in-house attorneys and the compliance and regulatory teams on a broad variety of business and commercial issues involving the Kerr, Metrex, Orascoptic, and the North America dental Implants businesses
  • Perform miscellaneous job-related duties as assigned


Job Requirements:

MINIMUM REQUIREMENTS:
  • J.D. Degree from an accredited law school
  • California Bar or member in good standing of a state bar with ability to be qualified to register as in-house counsel in California
  • At least 6 years of transactional/healthcare law experience at a nationally recognized law firm and/or as in-house counsel in the United States
  • Demonstrated knowledge and understanding of the complexities and compliance-related issues associated with regulated healthcare businesses, including medical device and/or pharmaceuticals
  • Experience dealing with healthcare authority regulations pertaining to the marketing and sales of medical devices and/or pharmaceuticals
  • Top level legal acumen
  • Strong research and writing skills
  • Strong communication and oral presentation skills
  • Commitment to the highest standards of ethical conduct
