Job Description

The Senior Program Manager leads large, strategic, and highly complex programs with a primary focus on Merger & Acquisition (M&A) integration and carve-out execution. This role provides enterprise-level governance, oversight, and hands-on delivery leadership across multi-functional programs spanning business, technology, finance, legal, and operations. The role is accountable for translating transaction objectives into executable integration and separation outcomes that deliver deal value.

Responsibilities

M&A Integration & Carve-Out Leadership
  • Lead end-to-end delivery of M&A integration programs, including full acquisitions and carve-outs, from pre-close planning through post-close stabilization and value realization.
  • Develop and manage integration plans, separation plans, and transition roadmaps aligned to deal thesis, TSA requirements, and regulatory considerations.
  • Coordinate integration and carve-out execution across business, IT, finance, HR, legal, commercial, and operations workstreams.
  • Serve as execution partner to Corporate Development, Finance, and Business Unit leadership.
  • Identify, manage, and resolve integration and separation risks including stranded costs, TSA dependencies, and operational continuity risks.

Program & Portfolio Management
  • Provide overall leadership, governance, and coaching for complex programs and sub-portfolios.
  • Define and operate program governance, steering committees, escalation paths, and executive reporting.
  • Develop integrated program plans and manage milestones, dependencies, and critical path items.
  • Manage program budgets, forecasts, and financial performance including synergy realization.

Stakeholder & Executive Engagement
  • Act as primary point of contact for program decisions, issues, and escalations with senior executives.
  • Develop and deliver executive-level communications, dashboards, and decision materials.
  • Partner with Procurement to manage external advisors, vendors, and systems integrators.

People Leadership & Compliance
  • Provide performance management and development for direct reports as applicable.
  • Ensure adherence to UL Solutions policies, Code of Conduct, and security practices.
  • Perform other duties as directed.

REQUIRED SKILLS & COMPETENCIES
  • Proven experience delivering M&A integrations and carve-out transactions including TSA management.
  • Advanced program and financial management skills including ROI, IRR, and synergy tracking.
  • Ability to operate in ambiguous, high-pressure environments.
  • Strong executive communication and influencing skills.
  • Understanding of enterprise systems and technology integration/separation considerations.


Qualifications

EXPERIENCE
  • 10+ years managing large, complex enterprise-scale programs.
  • Demonstrated M&A integration and carve-out delivery experience.
  • Experience supporting business cases, capital investments, and Organizational Change Management.

EDUCATION

Bachelor's degree required; advanced degree preferred (MBA, MA in Project Management). PMP or equivalent certification preferred.

MEASURABLE SUCCESS METRICS
  • Day-1 readiness achieved across all critical functions.
  • ≥90% of integration and separation milestones delivered on time and within approved scope.
  • TSA services operational by Day-1 with exit completed on or ahead of plan.
  • Integration and separation costs delivered within ±5-10% of approved budget.
  • Synergy and benefit realization supported by executable and measurable tracking.
  • No material customer-impacting disruptions attributable to integration activities.
  • Positive executive feedback from Business Unit leadership.
  • Reusable integration and carve-out playbooks and templates developed and adopted enterprise-wide.


Total Rewards: We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $160,000 to $190,000 USD and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday and personal days (totaling 12 days) and sick time off (72 hours).
