Full Job Description
Position Summary:

We are seeking a Senior Manager to lead financial due diligence and Quality of Earnings engagements for buy-side, sell-side, lender, and other transaction advisory clients. This role is responsible for managing engagement execution, supervising team members, identifying and communicating key transaction issues, and delivering actionable insights that help clients evaluate deal quality, risks, normalized earnings, and working capital considerations.

The ideal candidate brings strong transaction advisory experience, sound accounting judgment, advanced financial analysis capabilities, and the ability to translate complex financial findings into clear, client-ready recommendations. This individual should be comfortable managing multiple workstreams, reviewing detailed analyses, coaching team members, and communicating directly with clients, lenders, private equity sponsors, company management teams, and internal stakeholders.

Key Responsibilities

Engagement Leadership & Project Management
• Lead day-to-day execution of financial due diligence and Quality of Earnings engagements, including scope management, workplan development, staffing coordination, timeline management, budget monitoring, and client communication.
• Manage multiple concurrent engagements while balancing priorities, deadlines, and stakeholder expectations.
• Review team analyses, workpapers, and deliverables for accuracy, completeness, consistency, and alignment with engagement objectives.
• Identify key engagement risks, open items, and potential deal issues, and escalate matters appropriately to directors, partners, and clients.
• Ability to complete projects on time and drive the process to completion.

Financial Due Diligence
• Conduct in-depth financial analysis for potential acquisitions, divestitures, mergers, recapitalizations, and other strategic transactions.
• Analyze financial statements, trial balances, general ledger detail, customer and vendor data, payroll information, revenue and expense trends, and other transaction-related data.
• Assess profitability, cash flow, working capital, revenue quality, gross margin trends, expense run rates, and potential financial risks.
• Support buy-side, sell-side, lender, and other transaction advisory engagements by assessing the quality and sustainability of historical earnings and identifying key deal considerations.
• Develop clear analyses that support transaction evaluation, negotiation, purchase price considerations, and closing processes.
Quality of Earnings Reports
• Prepare and review Quality of Earnings reports that provide clear, well-supported insights into a company's financial performance.
• Identify and quantify normalized EBITDA adjustments, non-recurring items, management adjustments, debt-like items, and other matters that may impact enterprise value or transaction negotiations.
• Analyze net working capital considerations, historical trends, seasonality, customer concentration, vendor concentration, and other financial factors relevant to the transaction.
• Develop clear schedules and narratives that explain the impact of diligence findings on enterprise value, purchase price negotiations, and post-close considerations.
• Ensure conclusions are supported by appropriate analyses and communicated in a clear, concise, and client-ready manner.

Financial Modeling & Analysis
• Develop and review financial models to support transaction evaluations, including historical trend analyses, projections, forecasts, and scenario analyses.
• Use Excel and other analytical tools to analyze and manipulate complex datasets efficiently and accurately.
• Prepare adjusted EBITDA bridges, net working capital analyses, revenue and margin trend schedules, and other transaction-related analyses.
• Provide recommendations based on financial models and diligence findings to inform strategic decision-making.

Client Communication & Stakeholder Engagement
• Lead discussions with clients, company management teams, private equity sponsors, lenders, attorneys, and other transaction advisors to gather information, explain diligence findings, and resolve open items.
• Present findings in a clear, concise, and professional manner to senior management, clients, and transaction stakeholders.
• Collaborate with internal teams across advisory, tax, audit, valuation, legal, and operations to support comprehensive transaction execution.
• Address client questions and provide ongoing support throughout the transaction process.

People Leadership & Team Development
• Supervise, coach, and develop associates, senior associates, and managers by assigning workstreams, providing timely feedback, reviewing analyses and reports, and supporting professional growth.
• Promote consistent quality, accountability, and professional standards across engagement teams.
• Support recruiting, onboarding, training, and development initiatives within the Transaction Advisory Services practice.

Practice Development
• Contribute to practice growth by supporting proposals, preparing pitch materials, identifying follow-on service opportunities, and maintaining strong client relationships.
• Collaborate with partners, directors, and other leaders on business development initiatives and market-facing opportunities.
• Support continuous improvement of templates, tools, processes, and methodologies used in financial due diligence and Quality of Earnings engagements.

Qualifications
• Bachelor's degree in Accounting, Finance, Business, or a related field required; CPA preferred, with CFA or MBA viewed favorably.
• 7+ years of relevant experience, including significant financial due diligence, Quality of Earnings, transaction advisory, public accounting advisory, investment banking, or related M&A experience.
• 2+ years of experience supervising engagement teams, reviewing workpapers and deliverables, coaching team members, and managing project execution.
• Strong understanding of GAAP, normalized EBITDA adjustments, net working capital, revenue recognition, accrual accounting, and transaction-related accounting considerations.
• Exceptional Excel skills, including financial modeling, data manipulation, financial analysis, and large dataset management.
• Strong analytical and problem-solving skills with keen attention to detail and the ability to identify key financial trends, risks, and anomalies.
• Excellent verbal and written communication skills with the ability to present complex financial information clearly to clients, company management teams, and internal stakeholders.
• Ability to work in a fast-paced, deadline-driven environment and manage multiple projects with competing priorities.
• Broad industry exposure preferred, including experience with manufacturing, professional services, construction, business-to-business services, distribution, technology-enabled services, or other middle-market businesses.
• Ability to work in a hybrid environment and adapt to transaction-driven timelines, including occasional travel or extended hours during critical deal phases, as needed.

Preferred Skills
• Experience in a public accounting, consulting, transaction advisory, investment banking, or financial advisory environment.
• Experience working with small to middle-market business entities, private equity sponsors, strategic buyers, lenders, and founder-owned businesses.
• Familiarity with transaction advisory services, Quality of Earnings, valuation, M&A, purchase agreements, working capital targets, and debt-like items.
• Experience working with ERP systems, accounting system exports, large datasets, data visualization tools, and financial analysis platforms.
• Experience with AI and other TAS tools is plus.
• Demonstrated ability to contribute to proposals, client relationship development, internal training, and practice-building initiatives.
