About this roleCarrier is seeking an experienced attorney to support Carrier's indirect procurement organization, including commercial real estate matters. The role focuses on drafting, reviewing, and negotiating commercial transactions and providing practical legal counsel on related disputes and risk management matters.
Key Responsibilities- Drafting, reviewing, negotiating, and interpreting a broad range of commercial agreements supporting indirect procurement, including agreements for services, technology, facilities, construction, equipment, consulting, and other goods and services.
- Supporting Carrier's commercial real estate activities, including the negotiation and interpretation of leases, subleases, construction agreements, purchase and sale agreements, licenses, estoppels, subordination and non-disturbance agreements, letters of intent, consent letters, easements, and related documents.
- Advising procurement, real estate, facilities management, and business stakeholders on contract strategy, legal risk, and practical solutions that advance business objectives while protecting Carrier's interests.
- Managing commercial matters throughout the contracting lifecycle, including contract interpretation, amendments, renewals, terminations, and performance issues.
- Assisting in the prevention, management, and resolution of disputes involving suppliers, service providers, landlords, tenants, contractors, and other commercial counterparties.
- Providing due diligence and transactional support for mergers, acquisitions, divestitures, and other strategic initiatives, as needed.
- Conducting legal research and preparing clear, practical guidance and presentations on commercial, procurement, and real estate legal issues.
- Collaborating with cross-functional teams, including procurement, real estate, facilities management, finance, risk management
Required Qualifications- Bachelor's Degree
- Juris Doctorate Degree
- 5 + years of legal experience in a corporate legal department and/or law firm, with a demonstrated focus on transactional legal work
Preferred Qualifications- Substantial experience drafting, reviewing, and negotiating complex commercial agreements
- Excellent analytical, drafting, negotiation, and communication skills, together with the business judgment necessary to develop practical contracting solutions that protect Carrier's interests
- Experience supporting indirect procurement transactions and related commercial disputes
- Experience drafting and negotiating commercial real estate agreements
- Working knowledge of insurance, indemnification, limitation of liability, data privacy, cybersecurity, and other risk-allocation concepts relevant to commercial contracts
- Ability to work independently, manage multiple priorities, exercise sound legal and business judgment, and influence and collaborate effectively with business partners
- Works as a true team player, collaborating openly and supporting colleagues across functions

Pay RangeThe annual salary for this position is between $117,500.00 - $234,500.00 annually. Factors which may affect pay within this range include, but are not limited to, skills, education, experience, and other unique qualifications of the successful candidate. The pay range will not be below the minimum wage applicable to the jurisdiction in which the applicant is to be employed.
Other CompensationThis position is entitled to short-term cash incentives, subject to plan requirements.
