Job Summary
The Senior Corporate Counsel will serve as a strategic legal advisor and business partner, providing practical counsel on corporate, financing, treasury, commercial, governance, and strategic matters. This role is intended for a seasoned corporate law generalist with experience supporting complex transactions and advising senior business leaders across functions.

The successful candidate will bring significant corporate and financing transaction experience, with preferred experience in areas such as credit support, real estate and facilities, subsidiary governance, restructurings, strategic investments, corporate aviation, and various community investment initiatives.

The Senior Corporate Counsel will partner with finance, treasury, corporate development, commercial, sustainability, government affairs, community relations, senior leadership, and other business teams to advance business objectives while managing legal and reputational risks.

Position Overview

Your responsibilities may include:

Financing, Treasury & Credit Support
  • Advise on treasury, financing, liquidity, transferable tax credit purchase transactions, share repurchase programs, and other capital allocation initiatives
  • Support debt financings, credit facilities, syndicated lending arrangements, intercompany financing structures, and related transactions, including review and negotiation of financing agreements, guarantees, security instruments, covenant matters, amendments, waivers, and related documentation
  • Structure and negotiate credit support arrangements, including:
    • Parent guarantees
    • Letters of credit
    • Surety bonds
    • Performance guarantees
    • Collateral and security arrangements
    • Other credit enhancement mechanisms
  • Partner with treasury and finance teams to support enterprise risk management and financing objectives


Synthetic Leasing & Structured Finance
  • Provide legal support for synthetic lease transactions and other structured financing arrangements, including transaction structuring, risk allocation, compliance requirements, documentation, and coordination with Treasury, Tax, Accounting, Finance, outside counsel, lenders, lessors, and financial advisors


Real Estate, Facilities & Property Transactions
  • Provide legal support for domestic and international real estate, facilities, and property-related matters, including acquisitions, dispositions, leasing, financings, easements, rights-of-way, purchase agreements, ancillary agreements, title issues, landlord-tenant disputes, lease guaranties, and related operational matters


Charitable Contributions, Sponsorships & Community Investments
  • Advise on charitable contributions, sponsorships, grants, naming rights, nonprofit partnerships, community investments, and corporate philanthropy programs, including related legal, governance, tax, compliance, reputational, stakeholder, due diligence, policy, and approval considerations
  • Partner with compliance, ethics, government affairs, sustainability, and community relations teams to ensure charitable activities comply with applicable legal requirements and internal policies


Corporate Transactions, Strategic Projects & General Corporate Support
  • Support domestic and international corporate transactions and strategic initiatives, including acquisitions, divestitures, joint ventures, investments, restructurings, and transaction documentation
  • Conduct, coordinate, and advise on legal due diligence, risk mitigation, and outside counsel management
  • Coordinate cross-functional transaction teams
  • Support subsidiary governance and corporate maintenance activities
  • Deliver relevant training and guidance to supported business functions


Aviation Matters
  • Support corporate aviation and aviation-related business activities
  • Negotiate and advise on:
    • Aviation services agreements
    • Charter arrangements
    • Transportation agreements
    • Aviation maintenance and operational support arrangements
  • Advise on applicable regulatory and contractual matters associated with aviation operations including FAA-related matters and coordination with outside aviation counsel

Basic Requirements:
  • Legally authorized to work in the United States
  • Juris Doctor (J.D.) degree from an accredited law school
  • Licensed and in good standing with at least one U.S. state bar
  • 10 years or more of relevant legal experience in a major law firm, publicly traded company, or similarly sophisticated corporate legal environment, including significant experience with complex corporate transactions and financing matters
  • Experience providing legal advice regarding charitable contributions, sponsorships, community investments, or related corporate giving initiatives
  • Strong corporate law, transactional, drafting, negotiation, contract management, analytical, problem-solving, business judgment, and risk-balancing skills, with experience providing practical legal advice directly to senior business leaders
  • Ability to identify and appropriately balance legal, business, operational, and reputational risks


Preferred Requirements:
  • 5 years or more of relevant legal experience in
    • Synthetic lease transactions
    • Structured finance arrangements
    • Real estate financing
  • Experience supporting a publicly traded energy company
  • Significant experience with one or more of the following:
    • Credit support arrangements
    • Corporate finance transactions
    • Corporate aviation, aviation services, transportation agreements, or aviation-related regulatory matters
    • Mergers and acquisitions
    • Joint ventures and strategic investments
  • Experience advising on matters related to corporate foundations, charitable giving programs, sponsorship activities, or nonprofit partnerships, including legal and governance considerations and due diligence reviews
  • Experience supporting businesses operating in highly regulated and international environments
  • Demonstrated ability to manage multiple high-priority matters simultaneously
  • Strong analytical, problem-solving, and business judgment skills
  • Familiarity with environmental, social, sustainability, community investment, or corporate responsibility initiatives
  • Exceptional business and legal judgment
  • A practical, solution-oriented approach to problem solving
  • The ability to manage sophisticated legal matters independently while partnering effectively across functions
