Job Summary

The Senior Counsel will report to the VP, Deputy General Counsel and collaborate closely with other senior legal leaders, including the Chief Legal Officer, SVP, General Counsel and other VP, Deputy General Counsels. The Senior Counsel will also collaborate closely with other department representatives, including physician recruitment, compensation, finance, operations, population health, and executive leadership to develop contracts that are innovative and that advance the organization's strategic objectives while ensuring compliance with applicable laws and regulations. Beyond traditional physician contracting, this role will help the organization evaluate and implement emerging models of care delivery and payment, including value-based arrangements, population health initiatives, risk-sharing structures, care coordination programs, and physician alignment strategies.

Essential Functions
  • Serve as a strategic and legal advisor to senior leaders on a wide range of routine and complex physician arrangements, including compensation design, negotiation, drafting documents and implementation.
  • Draft, review, negotiate, and advise on physician employment agreements, medical directorships, call coverage arrangements, professional services agreements, and emerging provider collaboration models.
  • Apply understanding of health system and/or health plan operations to deliver actionable, practical, business-focused legal advice when advising on physician arrangements, regulatory considerations, risk allocation, and alignment with organizational strategy.
  • Partner with operational and clinical leaders to develop innovative physician alignment strategies that support organizational growth, quality, patient access, and care transformation.
  • Collaborate with finance, compensation, and business leaders on commercial reasonableness, fair market value, physician compensation and incentive design.
  • Support the organization with evaluation and implementation of emerging models of care delivery and payment, including value-based arrangements, population health initiatives, shared savings arrangements, risk-sharing structures, care coordination programs, physician alignment strategies, clinically integrated networks, and alternative payment models.
  • Knowledge of financial principles applicable to physician arrangements and demonstrated ability to review and understand fair market value assessments and related documents.
  • Monitor developments in healthcare regulation, reimbursement, physician compensation trends, value-based care models, and industry best practices, and proactively advise leadership regarding emerging opportunities and risks. Support acquisitions, physician integration initiatives, joint ventures, strategic affiliations, and other enterprise transactions involving providers.
  • Develop educational materials and provide training to internal stakeholders regarding physician arrangements and healthcare regulatory requirements. Communicate complex legal concepts in a clear and concise manner to non-legal business and senior leaders.
  • Establish and maintain collaborative working relationships with, and as needed provide mentorship, direction and guidance to, fellow attorneys, legal specialists, and other team members throughout the organization.
  • Foster and maintain relationships with and provide cost-effective use and oversight of external legal counsel, consultants, and advisors.


Qualifications

Required
  • Doctorate from an ABA accredited law school
  • 7 years of relevant experience after law school


Preferred
  • CRT-Attorneys working as counsel (ATTORNEY) - ABA American Bar Association Upon Hire
  • 5 years of relevant experience with Physician arrangements experience, demonstrated ability to support large-scale transactions - combination of private practice and in house
  • 5 years of relevant experience with knowledge of and ability to provide legal guidance on healthcare laws such as Stark Law, AKS, HIPAA, Medicare/Medicaid, antitrust, tax, nonprofit requirements, health insurance requirements and state regulatory frameworks.
  • 3 years of relevant experience in collaborating with legal professionals and non-legal team members and leaders through transactions.
  • 3 years of relevant experience in healthcare industry serving healthcare or health plan clients.
