Full Job Description
We are seeking an outstanding commercial transactions attorney to join our Legal Department. This attorney will serve as a trusted legal advisor to business leaders and work closely with colleagues across the Legal Department to further develop a best-in-class commercial contracting function.

The successful candidate will possess exceptional drafting and negotiation skills, strong business judgment, and a modern approach to commercial contracting. This attorney will be expected not only to negotiate and draft complex agreements, but also to help improve how contracts are structured, governed, and managed across the organization. The ideal candidate understands that sophisticated contracting requires thoughtful legal analysis, disciplined governance, thorough due diligence, and practical risk allocation.

This role offers significant visibility, regular interaction with senior business leaders, and the opportunity to influence how the Company approaches commercial transactions.

What You'll Do:
  • Draft, review, negotiate, and advise on a broad range of commercial agreements, including:
    • Technology and SaaS agreements
    • Procurement and vendor agreements
    • Professional services agreements
    • Marketing and advertising agreements
    • Strategic partnership agreements
    • Consulting agreements
    • Non-disclosure agreements
    • Other complex commercial transactions
  • Partner closely with business stakeholders to understand commercial objectives and provide practical, risk-based legal advice that supports business goals.
  • Draft sophisticated contractual provisions that appropriately allocate legal and commercial risk while reflecting current market standards and best practices.
  • Conduct appropriate legal due diligence and ensure contracts are negotiated and documented in accordance with Company governance standards, approval processes, and internal policies.
  • Collaborate with colleagues to develop, refine, and maintain contract templates, clause libraries, negotiation playbooks, and contracting guidelines.
  • Help improve the consistency, quality, and efficiency of the Company's commercial contracting processes.
  • Advise internal clients on contractual interpretation, rights, obligations, and risk management.
  • Identify recurring contractual issues and recommend process improvements that reduce legal risk while enabling efficient business operations.
  • Partner with business teams to improve contracting workflows and leverage technology to support an efficient and scalable contracting process.
  • Provide guidance and mentorship to legal professionals, as appropriate.

What We're Looking For:

  • Strongly Preferred
    • Graduate of a nationally recognized top-20 U.S. law school.
    • Experience practicing at a leading national law firm (Am Law 100 or comparable).
    • Experience representing sophisticated corporate clients in complex commercial transactions.
    • In-house experience supporting a large, complex organization.
    • Experience improving commercial contracting processes, governance frameworks, templates, and negotiation playbooks.
    • Experience using contract lifecycle management (CLM) platforms and technology-enabled contracting tools.


The annual starting salary for this position is between $140,000 - $180,000 annually. Factors that may affect starting pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
