About the RoleWe're looking for a senior corporate paralegal to join Flow's legal team and own the operational backbone of how we structure the company. Flow runs a growing portfolio of U.S. entities in regulated industries and obtains a wide variety of operational permits in a variety of U.S. states. Responsibilities- Entity management: Own the full lifecycle of entity administration - formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, signatories, officer and director lists, post-integration cleanup.
- KYC, UBO, and diligence: Respond to KYC/UBO and diligence requests from partners, auditors, insurers, and counterparties, and build reusable packages.
- Commercial and cross-functional support: Assist with powers of attorney, delegations of authority, and corporate approvals needed by the business.
- Permitting support: Assist with obtaining and maintaining our operational permits across our U.S. jurisdictions.
Ideal Background- 5+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth company.
- Deep working knowledge of corporate governance, entity formation and maintenance, and corporate recordkeeping functions.
- Demonstrated ability to independently run multiple time-sensitive workstreams without dropping threads or waiting to be asked.
- Comfort operating in a fast-paced environment where priorities shift and processes are still being built - and a bias toward action
- Bachelor's degree or equivalent practical experience.
- Notary Public commission (FL or NY), or willingness to obtain one.
