JOB DESCRIPTION
At the crossroads of science, business, and healthcare, the Senior Corporate Counsel role will focus on mergers and acquisitions, other commercial transactions, and general commercial counseling. The position is based at the Company’s Secaucus, NJ, headquarters or a mutually agreed location. TheSenior Corporate Counsel is responsible fordrafting and negotiating a wide range of commercial contracts, with a concentration on mergers and acquisitions. The position will report to a member of the Legal Management Team.
PayRange: $170,000 - $230,000/year+ 25% Annual Incentive Plan + Long-Term Incentive
Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications obtained. Market and organizational factors are also considered. Successful candidates may be eligible to receive annual performance bonus compensation.

JOB RESPONSIBILITIES
- Supporting and managing all aspects of M&A transactions, including due diligence review and drafting diligence reports, redlining and negotiating agreements typically used in M&A, attending meetings and structuring transactions, advising on post-closing integration, and collaborating with internal subject matter experts and outside deal counsel.
- Providing all legal services necessary to support enterprise-wide growth initiatives for the Business Development function.
- Legal drafting and negotiation support for licensing agreements, collaboration agreements, co-development agreements, research collaboration agreements, supply and laboratory management services agreements, material transfer and specimen collection agreements, and master services agreements.
- Providing strategic legal advice and counsel to internal business clients on matters including new product launches, collaborations, strategic alliances, laboratory operations, general legal needs of internal business divisions, and disputes.
- Counseling clients on a range of business and legal regulatory issues, including anti-corruption and fraud and abuse laws.
- Developing training for clients and perform training for assigned areas.
- Other duties as assigned.
JOB QUALIFICATIONS
The successful candidate for Senior Corporate Counsel will have the following attributes and/or experiences:
- Minimum of 7 years of relevant experience, including significant experience in mergers and acquisitions/transactions and commercial contracting. Top-tier credentials are required for consideration.
- Must be duly licensed to practice law
- Strong educational background including an undergraduate degree and JD are required; background in a scientific field or fluency in science is preferred
- Requires the ability to lead and influence leaders on areas within subject matter expertise
- Ability to run deals and manage complex, high-stakes projects
- Excellent communication skills
- Strong corporate, commercial or transactional experience
- Corporate M&A experience, including public and private transactions on buyer’s side, commercial transactional experience preferred
- An understanding of how to support the achievement of business objectives while considering the regulatory landscape
- Preference for health care law background
- Preference for BigLaw and/or In-house corporate legal experience
- Strong organizational skills, responsiveness, and ability to juggle competing priorities in a fast-paced environment
- Demonstrated ability to interface effectively with all levels of staff, management and executives
- Occasional travel is required
