Position purposePrepare, analyze and guide the due diligence process for acquisitions and integration from the initial introductory call to the 'hand-off' of the process to Operations once the deal has closed.
Responsibilities/Duties/Functions/Tasks:

- Participate, coordinate, and analyze valuation and due diligence efforts for potential acquisitions between internal decision makers and other internal resources, management and other key personnel of the company being acquired, and third party resources, including, but not limited to outside counsel, accounting firms, and brokers for both parties
- Build, maintain, and own complex financial analyses, including but not limited to review of financial statements and business contracts, trend analyses, potential deal synergies, practice KPI's, etc.
- Help craft strategic rationale, create geographic market maps, and perform site visits as necessary, to provide internal investment committee with clear and detailed presentation materials to assist in LOI preparation for groups in the pipeline.
- Understand and interpret documents related to the physician services industries and healthcare industry.
- Help manage virtual data rooms (VDR's) and facilitate due diligence efforts with trusted 3rd party advisors as well as in-house functional teams.
- Assist / organize a process to help the target practice's (seller's) management teams provide needed due diligence data in an efficient way.
- Serve as the primary liaison managing workflows across cross-functional diligence workstreams (Financial, Tax, Legal, IT, HR, Credentialing, RCM, etc.).
- Establish and coordinate regularly scheduled internal diligence meetings with key personnel to discuss acquisitions currently in the pipeline.
- Read and abide by the company's code of conduct, ethics statements, employee handbook(s), policies and procedures and other corporate mandates, including participation in mandatory training programs.
- Report any real or suspected violation of the corporate compliance program, company policies and procedures, harassment or other prohibited activities in accordance with the reporting policies of the company.
- Obtain clarification of policy whenever necessary and may use the resources available through the Compliance, Human Resources or Legal Department to do so.
- Perform other duties as assigned or requested.
EDUCATION: Bachelor's Degree from a four-year College or University in Accounting or Finance or related business field and 3-5 or more years of relevant experience required; Master's Degree preferred.
EXPERIENCE: Minimum of three to five (3-5) years of relevant healthcare corporate development, investment banking, or private equity experience; healthcare physician services experience strongly preferred; fundamental understanding of accrual based accounting; experience reviewing Quality of Earnings Analyses; experience or skills reconciling various financial systems and CPT billing files; highly proficient in excel and powerpoint.

- Highly organized. Ability to multi-task and meet deadlines in a fast-paced, high pressure environment, while providing accurate, reliable, high quality work.
- Keen sense of awareness with regard to identifying potential challenges, risks, inconsistencies, and opportunities.
- Expert-level excel financial modelling skills (advanced formula's, scenario analysis), and powerpoint presentation capabilities.
- Strong communication, presentation, and interpersonal skills.
- Self-starter with the ability to work independently.
Equipment Operated: Standard office equipment including computers, fax machines, copiers, printers, telephones, etc.
Work Environment: Work requires hand dexterity for office machine operation, stooping and bending to files and supplies, mobility to complete errands, or sitting for extended periods of time. Occasionally lifting files or paper weighing up to 20 pounds. Occasionally work environment may be very stressful.
Mental/Physical Requirements: Normal office environment. May view computer screens for long periods of time. Occasional weekend work.
