Job DescriptionThe law clerk/paralegal will be a member of the Real Estate Group's funds team responsible for global fund legal operations and will support the legal team.
Responsibilities: - Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocols
- Manage the legal document system and maintain organization of all legal documents
- Assist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entities
- Apply for Employee Identification Numbers for domestic and foreign entities and Global Intermediary Identification Numbers, if required
- Prepare tax forms (W-8s/W-9s)
- Assist with bank account openings and onboarding entities with the fund administrator and other service providers
- Assist with filings required under U.S. securities laws
- Advise registered agent of any entity formations, name changes, conversions and dissolutions
- Draft initial operating agreements, resolutions and internal loan documents
- Respond to internal and external requests for information for KYC and other purposes
- Assist in preparing and maintaining structure charts
- Maintain D&O registers
- Assist in annual processes, ad hoc projects and corporate governance matters generally
Qualifications:- Bachelor's degree required
- Minimum of 2-3 years of experience
- Exceptional attention to detail
- Strong organizational, project and time management skills
- Excellent interpersonal, written and verbal skills
- Proficiency in Microsoft Word, Excel, PowerPoint and PDF
- Fast learner with the ability to multi-task effectively while managing a robust workload in a fast-paced environment
- Experience with Diligent corporate database (fka Blueprint) and/or iManage document management system a plus
- Willingness to travel to Toronto a few times per year

Salary Range: $90,000 - $115,000
Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive. Compensation decisions are based on a number of factors including relative experience, overall years of experience, industry experience, education and designations.
