OPPORTUNITY OVERVIEW

Teradyne is seeking a Lead Transaction Principal to own and execute mergers, acquisitions, divestitures, and strategic technology transactions across its semiconductor and semiconductor capital equipment businesses. This role carries end-to-end accountability for transactions from early assessment through execution, signing, and close, and requires close partnership with engineering, product, operational, and executive leadership.

KEY RESPONSIBILITIES
  • Own end-to-end M&A and strategic transactions across semiconductor test, wafer-level test, system-level test, and adjacent semiconductor capital equipment segments.
  • Lead deal strategy, valuation framing, and execution from early evaluation through closing.
  • Lead cross-functional deal teams spanning engineering, product management, operations, finance, legal, tax, HR, and IT.
  • Evaluate target technologies, including hardware architectures, software platforms, IP portfolios, product roadmaps, and manufacturing implications.
  • Translate technical diligence into clear implications for product strategy, customer value, risk, and integration complexity.
  • Prepare investment theses, valuation analyses, and transaction recommendations for senior leadership and the Board.
  • Manage external advisors while maintaining internal ownership of strategic decisions.
  • Support post-close alignment and transition planning to ensure deal intent and technology priorities are realized.


REQUIRED BACKGROUND AND QUALIFICATIONS
  • 15+ years of professional experience.
  • Prior experience of leading complex M&A or strategic transactions within large technology companies.
  • Prior experience in technology-focused investment banking or equivalent transaction roles, with direct execution responsibility for completed transactions.
  • Bachelor's degree in Engineering or a closely related technical discipline.
  • Hands-on experience working as an engineer earlier in career (e.g., product development, systems engineering, manufacturing engineering, or software engineering).
  • Masters degree from a top-tier business school.
  • Demonstrated ability to engage credibly with senior engineers, technologists, and executive leadership.
  • Strong judgment in valuation, deal structuring, and strategic trade-off decisions.


Compensation:

The base salary range for this role is $219,900 - $351,900. This range is a good faith estimate, and the amount of base salary will correspond with experience and skill set. This range can also fluctuate depending on demand and location.

Incentive Plan: This job is eligible for discretionary bonus(es) based on financial performance.
