About this roleThe Counsel, General Legal, provides support to the Carrier Data Center and Global Enterprise Solutions (GES) sales vertical teams reporting to the Senior Manager, General Legal, Data Centers/Global Enterprise Solutions businesses in the Climate Solutions Americas business segment, providing embedded legal support across the full lifecycle of the business's most strategic opportunities.
This position will support the negotiation and execution of high-value, complex commercial transactions, while providing practical legal guidance on a wide range of commercial, operational, and pre-litigation matters. The role will play a critical part in driving scalable contracting processes and enabling the business to execute efficiently while managing risk.
Key Responsibilities- Support the end-to-end execution of complex, high-value commercial agreements across Data Centers, Mega-projects, and GES, including active participation in contract negotiations with customers and strategic partners
- Partner closely with the Data Center/Megaprojects business lead and sales leadership to advise on contract strategy, risk allocation, and deal structure throughout the sales lifecycle.
- Provide legal guidance during contract negotiations, including issue-spotting, drafting and recommending risk-mitigating positions consistent with Carrier policies and overall business strategy.
- Draft and revise a wide variety of agreements, including MSAs, project agreements, amendments, and settlement arrangements arising from disputes or concession matters.
- Drive process improvements to contract review, negotiation, and approval workflows to enhance speed, consistency and risk management.
- Identify recurring risk themes and support standardization efforts, including template development, playbooks, and business guidance.
- Support and manage pre-litigation matters, including customer claims, concession requests, and dispute resolution, in coordination with internal stakeholders and outside counsel where appropriate
- Provide day-to-day legal support on broad range of business matters, including customer negotiations, employee-related issues, and operational questions impacting the business.
- Partner with internal Centers of Excellence (e.g. compliance, employment, litigation, IP) to deliver coordinated, enterprise-level legal support for business.
Required Qualifications- Juris Doctorate from an accredited US law school
- Bar Admission in any US state
- 3+ years of law firm experience or in-house corporate/commercial experience
Preferred Qualifications - Experience in contracts, commercial litigation, technology, or corporate law
- Excellent written and communication skills
- Consultative, strategic, and solution-focused business partner with a growth mindset
- Ability to resolve conflict in a business-oriented approach with ability to prioritize and manage competing demands
Pay RangeThe annual salary for this position is between $96,000.00 - $192,000.00 annually. Factors which may affect pay within this range include, but are not limited to, skills, education, experience, and other unique qualifications of the successful candidate.
Other CompensationThis position is entitled to short-term cash incentives, subject to plan requirements.
