Full Job Description
Manager, Contracts Located: Houston We are seeking a Contracts Manager for Fabrication and Assembly Contracting, with experience and knowledge in contract formation, management, and execution of large and complex equipment and services agreements in the LNG industry. The Contracts Manager for Fabrication and Assembly Contracting will lead the negotiation of terms and conditions with major Contractors, lead the contract management function for Owner Furnished Equipment (OFE) Fabrication and Assembly Contracting, oversee the administration of variation management, claims, reporting, acceptance and closeout processes for assigned complex contracts associated with the OFE contracts for the Company's projects. The Contracts Manager for Fabrication and Assembly Contracting will participate in a multi-disciplinary team that provides contracts lifecycle support. The Contracts Manager for Fabrication and Assembly Contracting will report to the OFE Contracts Director and support the OFE Project Teams as necessary. This position will be located in Houston, TX. Key Responsibilities: • Draf, redline, and negotiate complex fabrication and assembly agreements with strategic contractors, in coordination with the OFE team and assigned Company's legal counsel. • Manage the contract administration function on assigned business units. • Lead and mentor a team of contract administration professionals. • Collaborate with Venture Global's team of Subject Matter Experts to define strategies related to contracting, risk management, controls, and taxes, for all assigned OFE agreements. • Oversee collaboration with the OFE projects team to evaluate, negotiate and administer change orders, task orders, and amendments. • Oversee the administration of new change order requests, including scope, target pricing, unit rates, reimbursable costs, and schedule definition, contractual amendments drafting, internal reviews and approvals, Contract Lifecycle Management (CLM) platform entries, and execution, ensuring adherence to Venture Global's Guidelines and Procedures. • Support the OFE Project Team in defining strategies for claims related to quantities, back-charges, defects, serial defects, warranty, and acceptance, amongst others. • Draft strategic official project notifications or official response notices in coordination with technical and commercial experts, legal, and senior Management. • Ensure compliance with requirements for contractual documents and requisitions upload to the CLM platform and approvals per Company's DOA, as required, in coordination with the Sourcing and Procurement department. • Advise the OFE Project Team on contractual questions by performing contract analyses and internal checklists. • Coordinate projects acceptance and close out in accordance with contractual requirements, in coordination with project controls, legal, and OFE Project team. • Maintain contract documentation repositories. • Track and update all activities and progress on assigned agreements in Company's designated logs. • Attend management internal and external meetings, as required. • Attend project kick off meetings, project progress internal and external review meetings, costs review meetings, and quality reviews, as necessary. • Visit the fabrication sites regularly during the performance of fabrication and assembly work. • Support other contract administration tasks assigned by the OFE Contracts Director. Job Qualifications: • Bachelor's degree in Finance, Economics, Law, Business, Engineering, or related field. • Master's degree. • Minimum 10 years of professional experience with contract / subcontract management and negotiation in the liquefied natural gas (LNG), power, oil and gas, industrial, or construction industries. • Demonstrated experience and ability to draft, redline, negotiate and lead the commercial and contractual negotiation of complex strategic agreements. • Experience managing and mentoring contract management teams. • Able to effectively communicate across various disciplines internally and with external counterparties. • Excellent analytical and problem-solving skills, with an ability to spot issues and risks and escalate when appropriate. • Excellent writing skills, including drafting of contractual documents. • Ability to prioritize and meet critical deadlines. • Attention to detail and ability to manage commercially sensitive and confidential information. • Ability to work independently as well as with team members and take direction in a fast-paced and dynamic environment.
