Position OverviewWe are looking for Legal Counsel possessing transactional, corporate and/or litigation experience to join our Legal Department in one of our legal hub offices. In this role, you will have the opportunity to participate in various legal functions within the department, including: providing advice and assistance to the company and its various home office functional groups, managing litigation and disputes, review and negotiation of construction and engineering services contracts as well as subcontracts and material supply agreements, and, supporting business units and profit centers by acting as dedicated legal support as well as engaging with key members of senior management Critical thinking, problem-solving and excellent judgment are key qualities to achieve success in this role. The position will report to the Group General Counsel.
District OverviewKiewit's Canadian projects include highways, bridges, mass transit, mine site development & open pit operations, hydroelectric powerhouses, wind-power plants, dams & industrial. In particular, the role will include providing legal support for the Quebec City Tramway project.
LocationThe position will be based in one of Kiewit's hub offices in Canada.
Responsibilities- Provide regular and ongoing legal advice with respect to legal issues facing the Company.
- Assist and coordinate with other members of the Legal Department with other legal needs of the Company, as necessary.
- Provide comprehensive oversight of all legal matters of each District and provide a full range of timely and responsive legal advice and support to each District Management.
- Draft joint venture agreements, consortiums, MOU's, term sheets, and other service agreements and associated transactional documents including first nations engagement agreements and documents.
- Ensure the Company's contracting protocols, commercial standards and guidelines are followed;
- Coordinate with the internal stakeholders and subject matter experts relative to the legal aspects and risks of matters assigned;
- Responsible for negotiations of prime contracts, joint ventures, MOUs, term sheets and related agreements;
- Coordinate negotiations on major subcontracts with the business lead and internal supply network lead;
- Perform initial case assessment and review of relevant contractual provisions, facts, and applicable law to provide early accurate case/matter risk assessments.
- Participate as an integral member of teams in the development of detailed claims.
- Collaborate with outside counsel, internal resources, and external experts on the resolution of claims, disputes, and other matters.
- Coordinate resolution strategy with the internal stakeholders and subject matter experts.
QualificationsQualifications - 5-8 years of transactional, corporate and/or litigation experience with a large law firm and/or inhouse legal department with experience similar as detailed above.
• Bilingualism is required - including complete fluency in both French and English.
• Effective organizational skills and ability to prioritize and manage multiple time-sensitive projects simultaneously.
• Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks.
• Excellent written and oral communications skills, with ability to synthesize complex legal issues to essential elements for internal clients and interact with Sr. leaders and C-Suite.
• Self-driven & resourceful to achieve goals independently as well as in groups in a demanding environment.
• Must have excellent negotiation skills, presentation, and meeting facilitation skills.
