Legal Counsel, Canada Delta Intelligent Building Technologies (Canada) Surrey, BC or Ottawa, ON (On-site) New position Compensation: Base Salary CAD $155,000 to $180, 000.
Position Purpose Reporting to the Regional Counsel, Canada, the Legal Counsel supports all three Canadian businesses, with primary focus on DCI and Trihedral. The role combines commercial contracting with day-to-day compliance and corporate support. It works closely with sales, product, engineering, HR and finance, and with Delta's headquarters legal team in Taiwan.
Key Responsibilities- Draft, review and negotiate customer, supplier and channel agreements, including:
- master purchase, distribution, reseller, sales representative and system integrator agreements
- software licenses, SaaS/cloud and subscription terms, EULAs, and support and maintenance agreements
- NDAs, development, OEM and services agreements
- Support public sector and critical infrastructure bids, RFP responses and government contract terms.
- Maintain contract templates, playbooks and approval matrices, and train business teams on them.
- Advise on IP protection, open source use, and software licensing and ownership.
- Support privacy and cybersecurity compliance under applicable provincial laws, as well as data processing agreements, privacy notices and incident response.
- Support compliance with employment law, trade and export controls, sanctions, anti-corruption and anti-spam (CASL).
- Maintain corporate records, annual filings, resolutions and entity governance for the Canadian entities.
- Prepare approval requests, risk reports and policy rollouts for Delta's headquarters.
- Manage outside counsel on assigned matters and track legal spend against budget.
- Handle disputes, demand letters, settlements and releases, and escalate as needed.
- Give timely status updates to the Regional Counsel and the business leaders you support.
Core Competencies- Strong drafting and negotiation skills on warranties, remedies, indemnities, limitations of liability, product liability and IP rights.
- Working knowledge of technology commercialization, including software, SaaS, connected devices and channel sales.
- Practical knowledge of privacy, cybersecurity and corporate compliance.
- Clear, concise, business-focused advice that balances legal and commercial concerns.
- Ability to manage high volume across several businesses and to work both independently and in a team.
- Strong interpersonal skills and respectful working relationships, internally and externally.
Required Qualifications- JD/LLB or equivalent law degree.
- Membership in good standing with a Canadian provincial law society (BC or Ontario preferred).
- At least 7 years of relevant commercial or technology legal experience, in-house or at a law firm.
Assets- In-house experience at a technology, software or industrial automation company.
- Experience working with a foreign parent company or global legal team.
