DescriptionRole Overview Reporting to the Chief Financial Officer (CFO), the
Legal Counsel will serve as the primary engine for the company's contracting function. This role is designed for a business-minded Individual Contributor (IC) who thrives on drafting, redlining, and closing deals. You must possess a sharp understanding of how artificial intelligence-including generative models, data rights, and IP ownership-intersects with commercial SaaS and hardware contracts. Your focus will be on accelerating sales cycles, protecting product IP, and navigating cutting-edge deal terms.
Key Responsibilities- Deal Execution & Commercial Contracting: Draft, review, and negotiate high-volume, complex commercial agreements-including Enterprise SaaS contracts, AI feature addenda, IoT/hardware agreements, inbound tech licenses, and vendor terms.
- AI & IP Deal Structuring: Structure and negotiate provisions specific to AI-powered features, including data ingestion rights, model training protocols, IP ownership of AI outputs, liability allocations, and algorithmic safety guarantees.
- Sales Enablement: Partner directly with Sales, Product, and Engineering teams to clear contractual friction, address customer concerns around AI data privacy, and unblock revenue.
- Privacy & Product Alignment: Ensure commercial terms align with evolving global AI regulations (e.g., EU AI Act, US state privacy/AI laws) and data privacy standards (GDPR, CCPA).
- Process Optimization: Maintain playbooks and standard fallbacks for AI risks, indemnities, and data use to ensure consistent risk management across all deals.
Qualifications- Education & Bar: Juris Doctor (J.D.) degree from an accredited US law school and active bar membership in good standing (Maryland bar or eligible for in-house registration preferred).
- Experience Level: ~4-7 years of commercial legal experience, ideally combining top-tier law firm training with in-house tech experience.
- Domain Expertise: Strong background in enterprise SaaS, IoT/hardware, and AI product commercialization.
- AI & Tech Literacy: Deep understanding of the legal mechanics of AI technology-including how data training rights, model outputs, copyright risks, and AI vendor liabilities function in commercial transactions.
- IC Drive: Highly self-sufficient execution mindset-enthusiastic about owning the deal queue end-to-end without relying on a large team or heavy external counsel spend.
- Pragmatic Negotiation: Commercial, business-first negotiator who knows how to mitigate novel legal risks without killing high-value deals.
