Natixis Investment Managers is seeking an experienced investment management attorney to join a collaborative legal team supporting a broad range of legal, regulatory, and governance matters for our mutual funds and exchange-traded funds (ETFs). This role provides a unique opportunity to work at the intersection of law, regulation, product development, and fund governance within a global asset management organization.

As Fund Counsel, you will play a key role in advising on SEC registration and disclosure matters, supporting new product initiatives, and providing legal guidance to fund boards and business partners across the organization. You will work closely with colleagues in Legal, Compliance, Product, Fund Administration, Operations, and affiliated investment managers, serving as a trusted advisor on complex regulatory and business matters.

This position is based in our Boston office and follows a hybrid work model. Team members currently work in the office a minimum of three days per week, with an anticipated transition to four in-office days per week beginning in 2027. What you will do:
SEC Disclosure & Regulatory Support

• Lead the preparation and maintenance of regulatory filings for mutual funds and ETFs, including annual registration statement updates and post-effective amendments.
• Manage SEC review processes, including responding to regulatory comments and coordinating updates to disclosure documents.
• Review and advise on a broad range of fund disclosure and regulatory filings, including prospectuses, Statements of Additional Information (SAIs), shareholder reports, proxy and information statements, N-14s, N-CSRs, N-CENs, N-PX filings, and related materials.
• Conduct legal research and analysis regarding disclosure obligations and regulatory developments affecting registered investment companies.
• Monitor and interpret new regulations and industry developments, providing practical guidance to business stakeholders and legal colleagues.

Product Development & Strategic Initiatives

• Serve as Legal's representative on new product launch teams and key business initiatives.
• Partner with internal and external stakeholders to support the efficient launch of new investment products.
• Provide legal guidance on contractual, regulatory, and operational matters related to product development and ongoing fund support.
• Draft, review, and negotiate agreements while assisting clients with legal research and regulatory interpretation.
• Contribute to special projects and strategic initiatives across the asset management platform.

Fund Governance & Corporate Secretarial Support

• Draft and review board materials, memoranda, resolutions, and other governance documentation for Board and Committee meetings.
• Prepare, review, and negotiate fund-related agreements, including advisory, sub-advisory, distribution, transfer agency, custodian, shareholder servicing, and Rule 12b-1 arrangements.
• Draft and update governance documents, procedures, charter documents, and related materials supporting Board actions.
• Prepare Board and Committee meeting minutes and assist in maintaining governance records.
• Research governance-related legal and regulatory matters and provide practical recommendations.
• Present legal and regulatory matters to Boards of Trustees and Board Committees, as appropriate.

What you will bring:

• Bachelor's Degree; Juris Doctor (J.D.) degree and active bar admission required.
• Minimum of 5 years of experience supporting registered investment companies under the Investment Company Act of 1940 or comparable asset management experience.
• Strong knowledge of mutual fund and ETF regulatory frameworks, SEC disclosure requirements, and fund governance practices.
• Exceptional analytical and problem-solving abilities, with the judgment to navigate complex legal and business issues across a variety of subject matters.
• Highly organized and self-directed, with the ability to manage multiple priorities and deadlines in a fast-paced environment.
• Proven ability to build relationships, collaborate effectively, and influence stakeholders across legal, compliance, operational, and business functions.
• Excellent written and verbal communication skills, with the ability to tailor messaging to diverse audiences, including senior management and Board members.

In accordance with the Massachusetts Wage transparency act, the expected annual base salary for this Boston, MA, based position is $123,600 - $242,050. Actual annual base salaries may vary based on factors including but not limited to education, training, experience, and other job-related factors. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include discretionary bonuses and other Natixis sponsored benefit programs.
