Full Job Description
Legal counsel responsible for managing various operational and legal risks concerning structured fixed income transactions including deal contingent hedges.

PRINCIPAL ACCOUNTABILITIES:

  • Provide legal support to Mizuho Capital Markets, Mizuho Securities USA LLC and affiliated U.S. and non-US entities with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal matters;
  • Advise on deal-contingent hedges and related swaps;
  • Analyze merger and acquisition related materials, including asset purchase agreements, NDAs and commitment letters;
  • Analyze credit agreements and other transaction documents concerning project financing transactions;
  • Advise on securities laws-related matters and provide dedicated coverage to existing structured note programs;
  • Manage outside counsel in various jurisdictions to assess probability of successful acquisition or debt financing closings in relation to deal contingent derivatives;
  • Work with the relevant business teams, support functions and US and non-US outside counsel to Identify legal issues and solutions concerning various cash and derivatives structured transactions;
  • Respond to inquiries from business units and other departments (trading/sales, market and credit risk, operations, finance and onboarding) regarding legal, credit or operational issues arising in the transaction documents and other related documentation or with respect to specific transaction terms; and
  • Other duties as assigned.


QUALIFICATIONS:

  • Law degree from an accredited law school in the United States preferred
  • 3-6 years experience at major bank or law firm
  • Member in good standing of the New York Bar
  • Excellent work ethic
  • Ability and desire to learn new concepts quickly
  • Understanding of financial markets and derivatives
  • Detail oriented and collaborative team player
  • Ability to prioritize and manage multiple projects and deadlines simultaneously
  • Capable of completing work independently
  • Excellent communication, organizational and presentation skills


The expected base salary ranges from $220,000.00. - $265,000.00. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained. Market and organizational factors are also considered. In addition to salary and a generous employee benefits package, successful candidates are eligible to receive a discretionary bonus.
