? Location: Cincinnati, OH or Grand Rapids, MI
? Schedule: Hybrid
? Compensation:

  • 1st-2nd Year Associate: $145,000-$160,000
  • More Experienced Associates: $160,000-$205,000 DOE

A growing and highly respected law firm is seeking a Corporate & Mergers and Acquisitions Associate to join its expanding transactional practice. This is an outstanding opportunity for an attorney with 1-3 years of experience who is looking to gain hands-on exposure to sophisticated corporate transactions while working directly with an accomplished partner and experienced deal team.

The ideal candidate will have experience, or meaningful exposure, to M&A transactions, corporate matters, finance, lending, or other transactional work and possess a strong desire to build a long-term career in corporate law.

This position offers significant client contact, substantive responsibility, professional development, and a clear path for growth within the firm.

What You'll Do

  • Support mergers, acquisitions, divestitures, and other strategic business transactions.
  • Assist with structuring, negotiating, and documenting corporate and finance transactions.
  • Draft, review, and negotiate purchase agreements, financing documents, organizational documents, and related transactional materials.
  • Conduct due diligence and assist with transaction closings.
  • Work closely with partners and senior attorneys on sophisticated middle-market transactions.
  • Collaborate with attorneys across corporate, finance, real estate, tax, and other practice areas.
  • Participate in client meetings and communications.
  • Develop practical, business-focused solutions for clients.
  • Manage multiple assignments while maintaining exceptional attention to detail and responsiveness.
  • Build strong client and internal relationships through collaboration and outstanding service.
Qualifications

Required

  • J.D. from an ABA-accredited law school.
  • Admission to practice, or eligibility for admission, in the applicable jurisdiction.
  • 1-3 years of experience in corporate law, mergers and acquisitions, finance, lending, or another transactional practice area.
  • Strong academic credentials.
  • Excellent drafting, analytical, organizational, and communication skills.
  • Strong attention to detail and ability to manage competing deadlines.
  • Demonstrated interest in transactional law and business matters.
Preferred

  • Exposure to mergers and acquisitions transactions.
  • Experience with commercial finance, lending, private equity, or general corporate matters.
  • Experience working directly with clients and managing portions of transactions.
  • Desire to develop a sophisticated transactional practice and build long-term client relationships.
