Full Job Description
ADI is seeking an experienced U.S. lawyer to join our Legal & Risk Optimization Business Partner (LRO BP) team, primarily supporting ADI’s Aerospace & Defense (ADEF) business unit and potentially other designated ADI business organizations. This LRO BP role is based at ADI’s Corporate Headquarters in Wilmington, MA, reporting directly to ADI’s Regional General Counsel with a dotted line to our lead Senior Counsel for ADEF. This role has primary responsibility for all legal matters impacting designated organizations. In supporting these organizations, in addition to the Regional General Counsel, the LRO BP will work in close partnership with other LRO experts and functions on all legal matters impacting these organizations (e.g., compliance, trade, and IP). The LRO BP will partner closely with business leadership in the designated organizations to implement strategies, including LRO strategies, effectively and in a manner that supports and drives the designated organizations’ strategic and growth objectives. Role Overview This LRO BP will act as legal advisor and strategic partner to business leadership in the United States, also supporting and coordinating international expansion and growth initiatives outside the U.S., including engagements with global aerospace and defense customers. This position is ideally suited for an attorney who combines deep commercial judgment, government contracting expertise, and executive presence, and who is comfortable operating at the intersection of regulated defense markets, advanced technology, and international growth. Key Responsibilities Strategic Business Partnership • Serve as a trusted advisor and embedded legal business partner to ADEF, partnering with expert counsel. • Develop a deep understanding of the ADI’s technologies, customers, regulatory environment, and growth priorities—especially in defense, aerospace, space, and secure communications markets. • Provide pragmatic, actionable legal advice and expertise that enables speed while appropriately managing risk in highly regulated environments. Collaborate effectively with cross-functional teams and expert counsel to resolve issues quickly and efficiently. • Collaborate with business unit and sales leaders to understand customers’ perspective on contract and legal matters, and provide guidance and recommendations to address the customer perspective as well as ADI’s. Commercial & Government Transactions • Lead and support negotiations for complex commercial agreements, including: • Long‑term supply and development agreements • Government‑adjacent and defense‑industry customer contracts • Advise on U.S. government contracting and flow‑down issues, including alignment with procurement, compliance, and security requirements (in coordination with subject‑matter experts).  International Expansion & Global Risk • Partner with regional ADI legal teams and outside counsel to support ADEF business expansion outside the United States, including Europe and other strategic regions. • Support scalable legal frameworks that enable repeatable global growth while maintaining compliance discipline under both US and local regulation. Regulatory, Compliance & Risk Management • Issue‑spot and advise on compliance with the Federal Acquisition Regulation (FAR), U.S. Government agency-specific FAR supplements (including the DFARS), and export controls, trade compliance, sanctions, data handling, security, and other regulatory obligations, working closely with ADI’s specialist teams in these areas. • Help leadership understand which risks matter most and how to manage them proportionately. • Ensure ADEF activities align with ADI policies, codes of conduct, and enterprise risk frameworks. Disputes • Support contract claims, equitable adjustments, and responses to prime contractor and Government dispute letters and inquiries . • Manage issues proactively to minimize disruption to customer relationships and business objectives. LRO Leadership & Continuous Improvement • Contribute to the broader LRO Business Partner community, sharing best practices and supporting continuous improvement of standard work, playbooks, and knowledge assets. • Participate in special projects, strategic initiatives, and cross‑functional efforts aligned with ADI’s long‑term strategy. Qualifications & Experience • Must be a U.S. Person due to required access to U.S. export-controlled information or facilities • Juris Doctor from an accredited US law school and active license to practice law in at least one U.S. jurisdiction. • At least 7 years of relevant legal experience focused on U.S. federal government contracting through a combination of law firm, in-house, or government experience. Experience with international defense business is a plus. • Expertise in the FAR, DFARS, and key government contracting regulations and practices impacting technology companies supplying products and services to the U.S. aerospace and defense industry, with experience in the semiconductor industry a plus. • Demonstrated experience supporting government contracts across multiple phases of the lifecycle (proposal through performance and closeout). • Experience working on international or cross‑border matters, including coordinating with regional legal teams. • Ability to advise confidently in real‑time, executive‑level discussions, balancing legal risk with business objectives. • Excellent written and verbal communication skills, with strong judgment, presence, and credibility. • Comfortable operating in a fast‑paced, matrixed global organization. • Willingness to travel domestically and internationally as required.
