The OpportunityWe have an incredible opportunity for a transactional tax associate with at least 2 years of experience to join our elite Tax-Exempt Organizations Practice Group, based in our Downtown Los Angeles office. Candidates with transactional tax and deal experience and an interest in developing a high-level, tax-exempt organizations practice are strongly encouraged to apply. Some experience advising nonprofit and tax-exempt organizations is required. Your clients will include colleges and universities, hospitals and other healthcare organizations, social service and environmental conservation organizations, research institutions, private foundations, trade associations, religious organizations, museums, and various other nonprofit organizations. We also represent individuals in their roles as founders, officers, directors, and contributors to tax-exempt organizations.
The Day-To-DayAs an associate in the Tax-Exempt Organizations Practice Group within our Corporate Department, you'll have the opportunity to:
- Draft and review transaction documents and related board materials, IRS submissions, and client advisory materials for various nonprofit mergers, acquisitions, joint ventures, conversions, spin-offs, corporate reorganizations, tax-exempt bond financings and other transactions.
- Support nonprofit and tax-exempt clients on tax compliance, unrelated business income, private inurement/benefit, intermediate sanctions, sophisticated executive compensation matters, governance, fundraising and charitable giving issues.
- Work directly with partners and clients on sophisticated matters across healthcare, education, research, and other mission-driven sectors.
You Have- At least 2 years of transactional tax experience at a "big law" firm (and, preferably, experience with nonprofits and tax-exempt organizations).
- Excellent academic credentials, analytical skills, and verbal and written communication skills.
- A willingness to learn and grow in a fast-moving environment, on an equity partner track.
- Admission to the California Bar.
- LLM in Taxation preferred but not required.

Los Angeles office:
The salary range for this role is $235,000 - $360,000. This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. An employee's pay within the salary range will be based on numerous factors including, but not limited to, relevant education, qualifications, experience, skills, and business or organizational needs. This job is also eligible for an annual merit increase and bonus pay.
