OverviewThe Corporate Counsel position provides legal advice and business guidance on a variety of corporate, public company and securities law matters. The primary responsibility for this role is to assist with our general corporate legal needs, including securities matters, corporate governance, board and committee activities, merger and acquisition transactions, subsidiary matters, general contract review and more.
Salary Range
The salary range for this position is $170,000 - $200,000 per year plus bonus. The base salary indicated for this position reflects the compensation range applicable to all levels of the role across the United States. Actual salary offers within this range may vary based on a number of factors, including the specific responsibilities of the position, the candidate’s relevant skills and professional experience, educational qualifications, and geographic location.
We are an in-office working environment. The members of our Legal and Government Relations Department currently work in our Chicago at 8750 W. Bryn Mawr close to the Cumberland station for the O’Hare Blue Line, Evansville IN, Indianapolis IN, and Minneapolis/St. Paul markets.
Key Accountabilities
- Handle various general corporate and public company/SEC matters
- Prepare, review and file proxy statements, reports (including 10-Ks, 10-Qs, 8-Ks and Section 16 reports) and registration statements with the SEC
- Analysis and prepare Board and Board Committee materials
- Handle merger and acquisition activities, including target analysis, due diligence, negotiation of acquisition and ancillary agreements, regulatory applications, SEC filings and closing and post-closing matters
- Assist with annual reporting and entity maintenance for our various subsidiaries
- Review and negotiate various corporate contracts, including confidentiality agreements
- Advise management at all levels with respect to various legal matters
- Review and advise on corporate policies and procedures impacting coverage areas
- Serve as a strategic legal partner and advisor to the business teams
- Coordinate and handle various corporate projects as determined by senior legal leadership
Qualifications and Education Requirements
- Minimum of 5-10 years' experience at a major law firm or in-house legal department of a medium or large public company.
- Admitted and in good standing in the bar of at least one of the following states: Illinois, Indiana, Kentucky, Michigan, Minnesota or Wisconsin
- Ability to apply sound legal analysis and practical business judgment to legal matters with a solutions-oriented approach that balances legal and business objectives
- Ability to consult with and advise management at all levels
- Strong written, oral and interpersonal communication skills
- Ability to deliver timely, high quality work product
- Ability to work independently and collaboratively in a client-focused, team environment
Desired Experience
- Strong understanding of corporate and federal securities laws, rules and regulations
- Experience in merger and acquisition transactions and processes
- Strong understanding of reports and processes for boards of directors
- Experience in corporate governance including maintenance of subsidiary entities
- Familiarity with one of more of the following areas also is desirable but not required: (1) intellectual property matters, (2) corporate insurance; and (3) executive compensation generally
- Excellent analytical, communication and relationship-building skills
- Ability to effectively communicate legal advice and engage with lines of business consistent with the Old National Bank’s culture and business strategy
- Demonstrated collaboration and relationship-building skills across business units, risk, compliance and operations teams
