Key Responsibilities

As a Contracts Manager within Delta's Energy Infrastructure Business, you will be managing contracts for utility scale energy projects including microgrids, solar and battery energy storage systems. Your role will involve supporting the business on negotiating Master Supply Agreements and Service Agreements, with utility scale developers, financiers, EPCs and data center customers including hyperscalers, working jointly with the Delta Americas Legal team

This role focuses on identifying key commercial terms that need to be negotiated together with the legal team and ensuring high-value equipment supply and service agreements align with corporate strategies and guidelines.

  • Negotiation & Drafting: Lead the commercial team's negotiation of high-stakes Supply Agreements, Master Service Agreements (MSAs), and Long-Term Service Agreements (LTSAs) for BESS, PCS, solar inverters and microgrids.
  • Technical Alignment: Work with engineering teams to ensure contracts accurately reflect performance metrics such as round-trip efficiency, battery degradation cycles, and microgrid response times.
  • Risk Management: Identify and resolve commercial vulnerabilities, managing liquidated damages (LDs), warranty claims, and liability limits to protect project returns.
  • Obligation Tracking: Manage post-award compliance, ensuring all parties meet milestones, reporting requirements, and conditions precedent for project commissioning.
  • Stakeholder Liaison: Act as the primary point of contact between Business leaders, Legal, Finance, and Procurement to streamline the approval process for complex energy transactions.


Minimum Qualifications

  • Experience: 5+ years of contract management experience within the renewable energy/utility sectors.
  • Core Knowledge: Deep understanding of commercial terms specific to energy storage and solar components (e.g., performance guarantees, capacity maintenance, and augmentation).
  • Education: Bachelor's degree in Business, Law, Engineering, or a related field.
  • Laws & Regulatory Knowledge: Familiarity of energy-specific bills such as OBBBA and regulatory approval bodies such as Department of Interior (DOI), Department of Energy (DoE), Federal Energy Regulatory Commission (FERC).
  • Software Proficiency: Exposure to using Contract Lifecycle Management (CLM) software and Microsoft Excel for financial modeling of contract terms.


Preferred Qualifications

  • EPC Expertise: Previous experience managing Engineering, Procurement, and Construction (EPC) contracts.
  • Certifications: Professional certification through the National Contract Management Association (NCMA) or a Project Management Professional (PMP) credential.
  • Mandarin fluency.
  • Deep background in drafting, reviewing and negotiating commercial terms of supplier and customer agreements, including but not limited to global master purchase agreement, distribution and sales representative agreements, terms and conditions, stocking and warehousing agreements, as well as service and development agreements on both the domestic and international level.
  • Demonstrated mastery of substantive U.S. legal concepts pertaining to commercial contracts and business development, including sophisticated understanding and drafting skills around warranties, remedies, indemnities, limitations of liability, product liability, intellectual property rights, etc.
  • Functional knowledge of various legal forms relevant to the in-house context, such as leases, consulting and other independent contractor agreements, employee handbooks, privacy policies, demand letters, settlements and releases, etc.
  • Functional knowledge of corporate compliance, including HR laws and regulations, corporate governance and entity management, etc.
  • Interest in broad product lines in emerging technologies, power electronics, and/or other subjects relevant to Delta's product portfolio.
  • Strong legal research and writing skills.
  • Excellent interpersonal and communication skills (written and verbal).
  • Ability to provide clear and concise business-oriented legal advice.
  • Must provide timely status updates to your manager and the product team leaders you would support.
  • A strong desire to solve problems, with a balanced focus on both legal and business concerns.
